1. Description of Procurement – Electrical Engineer Professional Services

This Purchase Order is issued by India New Delhi Engineering & Infrastructure Pvt. Ltd. (hereinafter referred to as "the Purchaser") for the engagement of a qualified Electrical Engineer to provide specialized professional services in connection with the design, supervision, and commissioning of electrical infrastructure for the multi-phase commercial development project located at Sector 62, Noida Extension, New Delhi, India. The Electrical Engineer shall be responsible for all aspects of electrical planning, load calculations, single-line diagram preparation, coordination with the Delhi Electricity Board (BSES/TPDDL), and on-site supervision of electrical works in strict compliance with the Indian Electricity Act, 2003, the Indian Electricity Rules, 1956, and all applicable municipal by-laws of the New Delhi Municipal Council (NDMC).

3. Terms and Conditions

1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
2. Qualification and Licensing: The Electrical Engineer engaged under this Purchase Order must hold a valid registration with the Institution of Engineers (India) and a current license issued by the Delhi Electricity Regulatory Commission (DERC). The Electrical Engineer shall produce original certificates for verification at the commencement of work in New Delhi, India.
3. Commencement and Completion: The Electrical Engineer shall commence all services within seven (7) calendar days of the date of this Purchase Order. The entire scope of work shall be completed within one hundred and ninety (190) calendar days from the date of commencement, unless extended in writing by the Purchaser.
4. Payment Schedule: Payment shall be made in the following tranches: 25% upon signing of this Purchase Order, 40% upon completion of design and BSES sanction, 25% upon completion of on-site supervision, and 10% upon final handover of all documentation. All payments shall be made via NEFT/RTGS to the bank account of the Electrical Engineer as specified in the vendor details above.
5. Compliance with Indian Standards: All work performed by the Electrical Engineer shall strictly adhere to IS 3046, IS 732, IS 800, IS 16429, and all relevant Bureau of Indian Standards (BIS) codes. The Electrical Engineer shall ensure full compliance with the New Delhi, India municipal electrical safety regulations and the Fire Services Act, 1999 (as amended).
6. Insurance and Liability: The Electrical Engineer shall maintain a valid Professional Indemnity Insurance policy of not less than INR 50,00,000 (Fifty Lakh Rupees) for the duration of the engagement. The Electrical Engineer shall be solely liable for any damage, injury, or loss arising from negligence or non-compliance during the execution of services in New Delhi, India.
7. Confidentiality: The Electrical Engineer shall treat all project drawings, specifications, and proprietary information of the Purchaser as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
8. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Electrical Engineer shall be compensated for work satisfactorily completed up to the date of termination, as certified by the Purchaser's project manager in New Delhi, India.
9. Force Majeure: Neither party shall be liable for delays caused by acts of God, government orders, strikes, or any event beyond reasonable control, provided that written notice is given within 48 hours of the occurrence.
10. Dispute Resolution: Any dispute shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to arbitration in New Delhi, India in accordance with the Arbitration and Conciliation Act, 1996.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electrical Engineer for the project located in New Delhi, India. This Purchase Order constitutes a binding agreement between the Purchaser and the Electrical Engineer effective from the date of the last signature.
