- Place of Performance: All services under this Purchase Order shall be executed at the project site located in District 2, Tehran, Iran, and at the Electrical Engineer's registered office in Tehran as specified in Section 2. No portion of the work shall be subcontracted without prior written consent from the Purchasing Entity.
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of design deliverables and TEDCO approval, and 30% upon final commissioning and submission of the as-built dossier to the Tehran Municipality. All payments shall be processed via bank transfer to the account registered in the name of the Electrical Engineer at Bank Melli, Tehran branch.
- Compliance with Iranian Law: The Electrical Engineer warrants that all design and supervision activities shall conform to the Iranian National Electrical Code (INEC), ISIRI standards, and the bylaws of the Iranian Engineering Organization. The Electrical Engineer shall maintain a valid professional license throughout the duration of this Purchase Order.
- Insurance: The Electrical Engineer shall maintain professional liability insurance with a minimum coverage of 500,000,000 IRR, valid for the entire project period, issued by an insurance company licensed to operate in Iran.
- Confidentiality: All technical drawings, load data, and infrastructure plans pertaining to the Tehran municipal project shall be treated as confidential. The Electrical Engineer shall not disclose any project-specific information to third parties without written authorization from TMIDC.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within 30 days, the matter shall be referred to the competent courts of Tehran, Iran, in accordance with the Civil Procedure Code of the Islamic Republic of Iran.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Tehran, or national emergencies declared by the relevant Iranian authorities.
- Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the Purchasing Entity shall compensate the Electrical Engineer for all work completed and documented up to the termination date.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Electrical Engineer services in Tehran, Iran, and that all terms stated herein have been read, understood, and accepted in full.
