All payments under this Purchase Order shall be made in Iraqi Dinar (IQD) via bank transfer to the account designated by Tigris Electrical Engineering Consultants LLC. Payment schedule is as follows: 30% advance upon signed acceptance of this Purchase Order; 40% upon completion and approval of all design deliverables by the buyer's technical committee in Baghdad; 20% upon successful commissioning and handover of the substation; and 10% final retention released 90 days after the warranty period expires. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Iraqi commercial law.
The Electrical Engineer team assigned under this Purchase Order shall commence work no later than 1 July 2025. All design deliverables must be submitted to the buyer's office in Iraq Baghdad within 60 calendar days of the commencement date. On-site supervision shall begin immediately upon completion of civil works at the substation site. The entire scope of work must be completed and handed over no later than 31 December 2025. Any delay attributable to the supplier shall result in a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total contract value.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Civil Code and the Iraqi Commercial Code. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center.
- The Electrical Engineer services provided under this Purchase Order must comply with all applicable Iraqi Ministry of Electricity regulations, Iraqi Standards and Metrology Organization (ISM) codes, and relevant IEC standards. The supplier warrants that all design work will be performed by a licensed Electrical Engineer registered with the Iraqi Engineers Syndicate, Baghdad Chapter.
- The supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of 50,000,000 IQD for the duration of this Purchase Order, valid within the jurisdiction of Iraq Baghdad.
- All intellectual property rights in the design documents, calculations, and reports produced under this Purchase Order shall vest exclusively in the buyer upon full payment. The supplier shall not reuse, reproduce, or disclose any project-specific data pertaining to the Baghdad infrastructure without written consent.
- The supplier shall provide a minimum of two (2) qualified Electrical Engineer personnel with a combined experience of no less than 15 years in high-voltage power systems design within Iraq. Key personnel assignments are subject to the buyer's prior written approval.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modification shall be valid or enforceable.
- In the event of force majeure as defined under Iraqi law, the affected party shall notify the other in writing within 48 hours. The performance timeline under this Purchase Order shall be extended by a period equal to the duration of the force majeure event.
- All communications, notices, and formal correspondence related to this Purchase Order shall be directed to the addresses specified in the party information section above and shall be deemed received upon confirmed delivery to the designated office in Iraq Baghdad.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Electrical Engineer professional services for the specified infrastructure project in Iraq Baghdad.
