This Purchase Order is issued by Levant Infrastructure Solutions Ltd. to formally procure the professional services of a qualified Electrical Engineer and associated engineering team for the design, review, and commissioning of electrical infrastructure systems for the new commercial development project located in the Ramat Gan district, Israel Tel Aviv metropolitan area. The Electrical Engineer shall be responsible for all low-voltage and medium-voltage distribution design, load calculations, power factor correction, grounding and lightning protection systems, and compliance with the Israeli Standard (SII) and the regulations of the Israel Electric Corporation (IEC-IL).

3. TERMS AND CONDITIONS

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
2. Payment Terms: Payment shall be made in three equal installments: 30% upon acceptance of this Purchase Order, 40% upon submission and approval of all design deliverables by the Electrical Engineer, and 30% upon successful commissioning and final sign-off by the Israel Electric Corporation. All payments shall be made via bank transfer to the supplier's account in Israel Tel Aviv within 30 days of invoice receipt.
3. Qualification Requirements: The Electrical Engineer assigned to this project must hold a valid license issued by the Israeli Engineers Association (IET) and a minimum of eight (8) years of professional experience in commercial electrical design. The Electrical Engineer must demonstrate prior experience with projects in the Israel Tel Aviv metropolitan area.
4. Compliance: All engineering work performed by the Electrical Engineer shall strictly adhere to the Israeli Standard (SII), the Israel Electric Corporation connection regulations, and all applicable municipal bylaws of the Tel Aviv-Yafo municipality in Israel Tel Aviv.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical drawings, load data, and proprietary information exchanged under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Insurance: The supplier shall maintain professional indemnity insurance with a minimum coverage of ILS 2,000,000 and public liability insurance of ILS 1,000,000 for the duration of the Electrical Engineer's engagement. Certificates of insurance shall be provided prior to commencement of work.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electrical Engineer shall be compensated for all work completed and documented up to the date of termination, less any amounts already paid.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Israel Tel Aviv, or acts of war, as defined under Israeli contract law.
9. Warranty: The Electrical Engineer warrants that all design deliverables shall be free from errors and omissions for a period of twenty-four (24) months from the date of final commissioning. Any defects discovered within this warranty period shall be corrected at no additional cost to the purchasing party.
10. Language: This Purchase Order is executed in English. In the event of any translation, the English version shall prevail. All technical deliverables from the Electrical Engineer shall be submitted in both English and Hebrew to satisfy Israel Tel Aviv regulatory requirements.
