This Purchase Order is issued by Roma Infrastrutture Elettriche S.p.A. (hereinafter referred to as the "Buyer") to Ingegneria Elettrica Specialistica S.r.l. (hereinafter referred to as the "Vendor") for the procurement of professional Electrical Engineer services to be performed within the metropolitan area of Italy Rome. This Purchase Order constitutes a binding commercial agreement for the engagement of qualified Electrical Engineer personnel to support the Buyer's ongoing infrastructure modernization project located in the central districts of Italy Rome, specifically covering the areas of Piazza Navona, Campo de' Fiori, and the surrounding municipal zones.
The Vendor shall provide a minimum of three (3) certified Electrical Engineers, each holding a valid professional registration with the Ordine degli Ingegneri di Roma, Lazio e Toscana, to carry out design, inspection, commissioning, and maintenance oversight of electrical systems as specified in the line items below. All work shall comply with the Italian Electrical Code (CEI standards), the Italian Civil Code provisions on professional services, and all applicable municipal regulations of the Comune di Roma.

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy. The parties acknowledge that all services described herein are to be physically performed within the administrative boundaries of Italy Rome.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice issued by the Vendor. Invoices must reference this Purchase Order number (PO-ROME-2025-0047) and include the Vendor's P.IVA. Payment shall be executed via bank transfer (bonifico bancario) to the account specified by the Vendor. Late payments shall accrue interest at the rate established by the Italian Civil Code (Article 1284) plus the statutory surcharge.
- Professional Qualifications: All Electrical Engineers assigned to this Purchase Order must hold a valid degree in Electrical Engineering (Laurea in Ingegneria Elettrica) and active membership in the Ordine degli Ingegneri. The Vendor shall provide copies of professional registrations prior to the commencement of work in Italy Rome.
- Health, Safety, and Compliance: The Vendor shall ensure that all Electrical Engineer personnel comply with Italian occupational health and safety regulations (D.Lgs. 81/2008 — Testo Unico sulla Sicurezza sul Lavoro). All work in Italy Rome shall be performed in accordance with the specific safety protocols established by the Buyer and the local municipal authority.
- Intellectual Property: All technical drawings, reports, calculations, and documentation produced by the Electrical Engineer team under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor retains the right to use generic methodologies but shall not disclose project-specific data without written consent.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Vendor shall ensure an orderly handover of all ongoing Electrical Engineer work in Italy Rome.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Italy Rome, or acts of war, provided that the affected party notifies the other within five (5) business days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, commercial, and operational information exchanged in the course of this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
- Warranty: The Vendor warrants that all Electrical Engineer services shall be performed with professional diligence, in accordance with the highest standards of the electrical engineering profession in Italy, and in full compliance with all applicable CEI standards and Italian regulatory requirements.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Electrical Engineer services in Italy Rome. This document, once signed by both authorized representatives, constitutes a legally binding agreement under Italian commercial law.
