Terms and Conditions of this Purchase Order

1. This Purchase Order constitutes a binding agreement between Sahel Infrastructure & Engineering Solutions SARL and TechnoVolt Engineering & Consulting Ltd. upon signature by both authorized representatives. All services described herein shall be performed by a licensed and certified Electrical Engineer holding valid registration with the Ordre des Ingénieurs de Côte d'Ivoire.
2. The Electrical Engineer engaged under this Purchase Order shall comply with all applicable laws, regulations, and safety standards of the Republic of Ivory Coast, including but not limited to the Ivorian Code du Travail, electrical safety regulations, and environmental protection directives applicable to Abidjan.
3. All deliverables, including design documents, technical reports, and commissioning certificates, shall be submitted in both French and English to the Procurement Department at the Abidjan headquarters within the timelines specified in the project schedule attached to this Purchase Order.
4. Payment shall be processed via bank transfer to the account designated by the vendor. Invoices must reference this Purchase Order number (PO-2025-IE-00847) and shall be submitted within 15 days of service completion. Payment is due within 30 calendar days of invoice receipt.
5. The vendor warrants that the Electrical Engineer assigned to this project possesses a minimum of ten (10) years of professional experience in high-voltage power distribution systems and holds a minimum of a Master's degree in Electrical Engineering from an accredited institution.
6. Any modification, extension, or cancellation of this Purchase Order must be documented in writing and signed by both parties. Verbal agreements regarding scope changes to the Electrical Engineer's duties are not valid.
7. In the event of a dispute arising from the interpretation or execution of this Purchase Order, both parties agree to first attempt resolution through mediation in Abidjan, Ivory Coast. Should mediation fail, the matter shall be referred to the competent commercial courts of Abidjan.
8. The vendor shall maintain professional liability insurance with a minimum coverage of 50,000,000 XOF for the duration of the engagement. Proof of insurance shall be provided prior to the commencement of any on-site work in Ivory Coast Abidjan.
9. This Purchase Order is governed by the laws of the Republic of Ivory Coast. All communications related to this order shall be directed to the addresses specified above in Abidjan.
