2. Description of Purchase
This Purchase Order is issued by Kyoto Precision Engineering Co., Ltd. to procure the professional services of a certified Electrical Engineer for the design, implementation, and commissioning of the new industrial power distribution system at our manufacturing facility located in Japan Kyoto. The scope of work encompasses the complete electrical infrastructure upgrade, including but not limited to: low-voltage and medium-voltage switchgear installation, programmable logic controller (PLC) programming, automated production line integration, and compliance verification in accordance with the Japanese Electrical Work Act (Denki Senyokuka Ho) and the Industrial Safety and Health Act. The Electrical Engineer shall hold a valid First-Class Electrical Engineer certification (Denshi Shiken Ikkyu) issued by the Ministry of Economy, Trade and Industry (METI) of Japan, and shall possess a minimum of ten (10) years of documented experience in industrial electrical systems within the Kansai region.

4. Delivery and Performance Schedule
All services under this Purchase Order shall be performed at the buyer's manufacturing facility situated at 2-14-8, Higashiyama-ku, Japan Kyoto. The Electrical Engineer is expected to commence on-site work no later than July 1, 2025, and shall complete all deliverables by September 30, 2025. A detailed milestone schedule, including weekly progress reports, shall be submitted to the Procurement Director within five (5) business days of contract acceptance. Any delays attributable to the supplier shall incur a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10% of the total value.
5. Payment Terms
- 30% Advance Payment: JPY 1,594,725 due within 10 business days of Purchase Order acceptance.
- 40% Progress Payment: JPY 2,126,300 due upon completion of switchgear installation and PLC programming milestones.
- 30% Final Payment: JPY 1,594,725 due within 15 business days of final commissioning sign-off and delivery of all as-built documentation.
- All payments shall be made via bank transfer to the supplier's designated account at MUFG Bank, Kyoto Central Branch, Account No. 000-1234-5678.
- Invoices must reference this Purchase Order number (KPE-2025-00847) and shall be submitted in Japanese and English.
6. Terms and Conditions
- This Purchase Order is governed by the laws of the State of Japan. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the Kyoto District Court.
- The Electrical Engineer shall maintain valid professional liability insurance with a minimum coverage of JPY 100,000,000 for the duration of the engagement and shall provide a certificate of insurance prior to commencing on-site work in Japan Kyoto.
- All work shall comply with the Japanese Industrial Standards (JIS), the Electrical Equipment and Materials Act, and applicable local ordinances of Kyoto City.
- The supplier warrants that the Electrical Engineer assigned to this project shall not be simultaneously engaged in conflicting projects that could compromise the quality or timeliness of deliverables.
- Confidentiality: All technical data, proprietary designs, and operational information shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent from Kyoto Precision Engineering Co., Ltd.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including but not limited to earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region), government mandates, or other events beyond reasonable control.
- This Purchase Order shall remain valid for thirty (30) days from the date of issue. Acceptance must be confirmed in writing by the supplier within this period.
