  1. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-JOS-2025-04872) and shall be submitted in Japanese Yen (JPY) via bank transfer to the account designated by the Supplier. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under the Act on Special Measures for Prompt Payment of Subcontracted Payments in Japan.
  2. Performance Period: The Electrical Engineer shall commence services on 1 July 2025 and shall complete all deliverables no later than 30 September 2025. Any extension of the performance period must be approved in writing by both parties and shall be documented as an amendment to this Purchase Order.
  3. Qualification Requirements: The Electrical Engineer assigned under this Purchase Order must hold a valid Second-Class Electrical Engineer License (Denshi Kogyoshi) issued by the Japan Electrical Engineers Association, or an equivalent First-Class qualification. The Engineer must also demonstrate a minimum of eight (8) years of professional experience in commercial and industrial electrical systems design and installation, with at least three (3) years of experience working on projects in the Japan Osaka metropolitan area.
  4. Compliance and Safety: All work performed by the Electrical Engineer at the Japan Osaka site must comply with the Occupational Safety and Health Act, the Building Standards Act, and all local ordinances of Osaka City. The Supplier shall ensure that the Electrical Engineer is enrolled in the Buyer's site-specific safety induction program prior to commencing any on-site activities.
  5. Intellectual Property: All designs, calculations, reports, and documentation produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier and the Electrical Engineer shall not reproduce, distribute, or utilize such materials for any other project without prior written consent.
  6. Confidentiality: The Supplier and the assigned Electrical Engineer shall maintain strict confidentiality regarding all proprietary information, site plans, and operational data of the Buyer encountered during the course of this Purchase Order engagement in Japan Osaka. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for all services rendered and documented up to the effective date of termination. The Electrical Engineer shall be required to hand over all work-in-progress documentation to the Buyer within seven (7) business days of termination.
  8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be resolved through mediation administered by the Osaka Commercial Arbitration Association before resorting to litigation in the Osaka District Court.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes affecting the Japan Osaka region), government-mandated shutdowns, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours of the occurrence.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electrical Engineer in Japan Osaka. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
