The Electrical Engineer engaged under this Purchase Order must hold a minimum of ten (10) years of professional experience in power distribution system design, a valid professional engineering license registered with the Chamber of Engineers of Kazakhstan, and demonstrated prior experience on projects located in Kazakhstan Almaty or equivalent Central Asian urban environments. All deliverables shall be submitted in both Russian and English to satisfy the regulatory requirements of the Almaty City Department of Energy and the national regulatory body, the Agency for Regulation of Natural Monopolies of the Republic of Kazakhstan.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and applicable regulations of the city of Kazakhstan Almaty. Any disputes arising from this Purchase Order shall be resolved through the Almaty City Arbitration Court.
2. Payment Terms: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of all design deliverables and submission to the Kazakhstan Almaty regulatory authority, and 30% upon successful commissioning and final acceptance. All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the account specified above.
3. Delivery and Performance Location: All services under this Purchase Order shall be performed at the project sites located in Kazakhstan Almaty. The Electrical Engineer and support team shall report to the Almaty Infrastructure Development Company LLP office at 152 Abai Avenue, Almaty, for weekly progress meetings every Monday at 09:00 local time.
4. Intellectual Property: All design documents, calculations, drawings, and reports produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of Almaty Infrastructure Development Company LLP upon full payment. The vendor shall not reuse, reproduce, or disclose any project-specific data pertaining to the Kazakhstan Almaty grid infrastructure.
5. Insurance and Liability: The vendor shall maintain professional indemnity insurance with a minimum coverage of 50,000,000 KZT for the duration of the engagement. The Electrical Engineer shall be liable for any design errors or omissions that result in non-compliance with Kazakhstan national electrical standards or that cause damage to existing infrastructure in Kazakhstan Almaty.
6. Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Kazakhstan Almaty, or changes in national regulatory policy affecting electrical infrastructure projects.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, grid topology information, and commercial terms contained in this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all work completed and documented up to the date of termination, subject to verification by the project manager in Kazakhstan Almaty.
9. Compliance with Local Regulations: The Electrical Engineer shall ensure full compliance with all local, regional, and national regulations applicable to electrical engineering work in Kazakhstan Almaty, including but not limited to the Law of the Republic of Kazakhstan "On Electrical Energy and Electrical Installations" and the Almaty City Building Code.
