1. Scope of Purchase Order

This Purchase Order is issued by Al-Nakheel Engineering & Infrastructure Co. W.L.L. to procure the professional services of a qualified Electrical Engineer for the duration of the Al-Salimiyah Mixed-Use Development Project located in Kuwait, Kuwait City. The Electrical Engineer shall be responsible for the design, review, coordination, and on-site supervision of all electrical systems including but not limited to power distribution, lighting, fire alarm systems, emergency generators, low-voltage data cabling, and building management systems. All work shall be performed in strict compliance with Kuwaiti Building Code, Kuwait Electricity Authority (KEA) regulations, and the International Electrotechnical Commission (IEC) standards as adopted in the State of Kuwait.

3. Terms and Conditions

  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall be construed as acceptance.
  2. Commencement: The Electrical Engineer shall report to the project site in Kuwait, Kuwait City no later than 1 July 2025. The Supplier is responsible for ensuring the Electrical Engineer holds a valid Kuwaiti work permit and civil ID prior to commencement.
  3. Qualifications: The Electrical Engineer must hold a minimum of a Bachelor's degree in Electrical Engineering from an accredited institution, possess a valid Professional Engineer (PE) or equivalent license, and have a minimum of eight (8) years of experience in commercial and mixed-use building electrical systems in the Gulf region.
  4. Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice. The first payment shall be due upon successful commencement of the Electrical Engineer's duties in Kuwait, Kuwait City. All payments shall be made via bank transfer to the Supplier's designated account in Kuwaiti Dinars (KWD).
  5. Performance Standards: The Electrical Engineer shall adhere to all project specifications, drawings, and schedules approved by the Purchaser. All electrical designs and as-built documentation must be submitted to the Kuwait Electricity Authority (KEA) for approval before implementation.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered by the Electrical Engineer up to the termination date, plus any non-recoverable expenses incurred in Kuwait, Kuwait City.
  7. Confidentiality: The Supplier and the Electrical Engineer shall treat all project documents, drawings, and proprietary information as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Kuwait, Kuwait City.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Kuwait, Kuwait City.
  10. Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for the Electrical Engineer throughout the duration of the assignment in Kuwait, Kuwait City, with a minimum coverage of KWD 500,000.

4. Delivery and Acceptance

All deliverables produced by the Electrical Engineer, including design drawings, calculation reports, coordination schedules, and as-built documentation, shall be submitted to the Purchaser's project office in Kuwait, Kuwait City in both hard copy (three sets) and electronic format (PDF and editable CAD files). The Purchaser shall have ten (10) business days to review and approve or reject each deliverable. Rejected items must be resubmitted within five (5) business days at no additional cost to the Purchaser.
