This Purchase Order is issued by Grupo Eléctrico del Centro, S.A. de C.V. (hereinafter referred to as the "Buyer") to Ingeniería Eléctrica Profesional, S.A. de C.V. The scope of work encompasses the design, review, commissioning, and regulatory compliance verification of electrical infrastructure systems for the Buyer's new commercial distribution center located in the Industrial Zone of Vallejo, Mexico Mexico City, C.P. 07400.

The Electrical Engineer engaged under this Purchase Order shall hold a valid professional license (cédula profesional) issued by the relevant authority in Mexico, a minimum of ten (10) years of documented experience in industrial electrical systems, and demonstrated familiarity with the NOM-001-SEDE, NOM-002-SEDE, and NOM-007-SEDE standards applicable to electrical installations in Mexico Mexico City. The Engineer shall also be proficient in the use of AutoCAD Electrical, ETAP, and SKM software for load calculations, single-line diagram development, and protective relay coordination studies.

TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both parties. All services described herein shall be performed exclusively within the jurisdiction of Mexico Mexico City unless otherwise authorized in writing by the Buyer.
  2. The Electrical Engineer assigned to this project must present valid professional credentials, liability insurance certificate (minimum coverage of MXN 5,000,000), and proof of compliance with all applicable labor and social security obligations under Mexican law (Ley Federal del Trabajo) prior to commencing any work in Mexico Mexico City.
  3. Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon completion of design and commissioning phases, and 20% upon final acceptance and delivery of the complete documentation package. All payments shall be made via bank transfer to the Vendor's designated account in Mexico.
  4. The Vendor shall ensure that the Electrical Engineer complies with all safety regulations established by the Secretaría del Trabajo y Previsión Social and the local safety ordinances of Mexico Mexico City. The Vendor assumes full responsibility for any workplace incidents occurring during the execution of services.
  5. Any changes to the scope of work, schedule, or deliverables must be documented through a formal Change Order amendment to this Purchase Order, signed by both parties, before additional work is performed.
  6. The Vendor warrants that all engineering deliverables shall comply with the current edition of the Mexican Official Standards (NOM) and the applicable electrical codes in force in Mexico Mexico City. The Buyer reserves the right to reject any deliverable that does not meet the specified technical requirements.
  7. Confidentiality: All project data, drawings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential by the Vendor and the assigned Electrical Engineer. This obligation survives the termination of this agreement for a period of five (5) years.
  8. Disputes arising from this Purchase Order shall be resolved through binding arbitration in accordance with the rules of the Centro de Arbitraje y Conciliación (CEAC) located in Mexico Mexico City, in the Spanish language.
  9. This Purchase Order is governed by the commercial laws of the United Mexican States. The applicable jurisdiction for any legal proceedings shall be the courts of Mexico Mexico City.
ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of an Electrical Engineer in Mexico Mexico City.
