1. This Purchase Order constitutes a binding agreement between Atelier Électrique du Maroc S.A.R.L. (hereinafter "the Buyer") and Ingénierie Électrique Pro (hereinafter "the Vendor") for the provision of professional Electrical Engineer services in Morocco Casablanca.
2. The Electrical Engineer engaged under this Purchase Order must hold a valid engineering degree (Diplôme d'Ingénieur d'État) in Electrical Engineering from a recognized Moroccan or international university, and must be registered with the Moroccan Order of Engineers (Ordre des Ingénieurs du Maroc).
3. All work shall be performed in strict compliance with Moroccan regulatory standards, including the NRM (Normes Marocaines) electrical codes, the Moroccan Urban Planning Code applicable to Casablanca, and IEC 60364 for low-voltage installations.
4. The Vendor shall provide a minimum of one (1) senior Electrical Engineer with no fewer than ten (10) years of experience in commercial and industrial electrical projects in Morocco Casablanca and the greater Casablanca-Settat region.
5. Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon completion of the detailed design phase, and 30% upon successful commissioning and handover. All payments shall be made via bank transfer to the Vendor's account in MAD (Moroccan Dirham).
6. The Vendor shall maintain professional liability insurance with a minimum coverage of 5,000,000 MAD throughout the duration of the engagement, with a certificate of insurance provided prior to commencement of work.
7. Any changes to the scope of work must be documented in a written amendment to this Purchase Order, signed by both parties, before additional work is performed. The Electrical Engineer shall submit a detailed cost estimate for any such modifications.
8. The Vendor shall submit weekly progress reports to the Buyer's project manager, detailing the status of all Electrical Engineer deliverables, any delays, and any issues requiring the Buyer's attention. All reports shall reference the project location in Morocco Casablanca.
9. In the event of non-performance or breach of this Purchase Order, the Buyer reserves the right to terminate the contract with fourteen (14) days' written notice. The Vendor shall be liable for any additional costs incurred by the Buyer due to the delay or deficiency in the Electrical Engineer's services.
10. All intellectual property, design documents, and technical drawings produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor shall deliver all original files in CAD (AutoCAD) and PDF formats.
11. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Casablanca, Morocco.
12. The Vendor acknowledges that the project site is located in the Anfa district of Morocco Casablanca and agrees to comply with all local municipal regulations, site safety protocols, and environmental requirements applicable to the area.
