Terms and Conditions of this Purchase Order
- This Purchase Order constitutes a binding agreement between Van der Berg & Partners B.V. (hereinafter "the Buyer") and DeltaVolt Engineering Solutions B.V. (hereinafter "the Supplier") for the provision of Electrical Engineer services and associated deliverables at the project site located in Netherlands Amsterdam.
- All services shall be performed in strict compliance with Dutch national regulations, including but not limited to the NEN 1010 standard for electrical installations, the Arbowet (Occupational Health and Safety Act), and the applicable municipal building permits issued by the Gemeente Amsterdam.
- The Electrical Engineer assigned to this Purchase Order must hold a valid Dutch registration with the SIB (Stichting Instandhouding Bouw) and possess a minimum of eight (8) years of professional experience in commercial electrical infrastructure within the Netherlands.
- The Supplier shall provide a comprehensive insurance certificate covering professional liability (minimum €5,000,000), general liability, and workers' compensation, valid for the entire duration of the engagement in Netherlands Amsterdam.
- Payment shall be made via bank transfer to the IBAN specified above within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate as defined in Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek).
- All intellectual property rights in the design documentation, load calculations, and as-built drawings produced under this Purchase Order shall vest exclusively in the Buyer upon full payment.
- The Supplier shall comply with all applicable data protection requirements under the Dutch UAVG (Uitvoeringswet AVG) and the EU General Data Protection Regulation (GDPR) when handling any personal data encountered during the project in Netherlands Amsterdam.
- Any disputes arising from this Purchase Order shall be resolved by the competent court in Amsterdam, The Netherlands, in accordance with Dutch law. The parties agree to attempt mediation through the NBBU (Nederlands Bouw- en Installatiebedrijven Verbond) before initiating litigation.
- This Purchase Order may only be amended or modified in writing, signed by authorized representatives of both parties. Verbal agreements or informal communications shall not alter the terms herein.
- The Supplier warrants that all Electrical Engineer personnel engaged under this order are properly qualified, insured, and authorized to perform electrical work in the Netherlands. The Buyer reserves the right to reject any personnel who do not meet the specified competency requirements.
