3. Scope of Work – Electrical Engineer ServicesThis Purchase Order is issued by Harbour City Developments Ltd to procure the professional services of a qualified Electrical Engineer for the design, review, and certification of electrical systems for a mixed-use commercial and residential development located in New Zealand Auckland. The Electrical Engineer engaged under this Purchase Order shall hold a valid registration with Engineers New Zealand and shall demonstrate a minimum of ten (10) years of post-graduate experience in commercial and residential electrical design within the New Zealand Auckland metropolitan region.
The scope of the Electrical Engineer's responsibilities under this Purchase Order includes, but is not limited to: the preparation of detailed electrical design documentation; load calculations and power distribution planning; coordination with the Auckland Council building consent process; selection and specification of all electrical equipment and materials; preparation of as-built drawings; and provision of a Certificate of Compliance in accordance with the New Zealand Building Code (Part E – Energy Efficiency and Part F – Services).

- This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the New Zealand Contract and Commercial Law Act 2012. All disputes arising from this Purchase Order shall be resolved in the District Court of New Zealand Auckland.
- The Electrical Engineer shall maintain valid professional indemnity insurance with a minimum cover of NZD $5,000,000 and public liability insurance of NZD $10,000,000 for the duration of the engagement specified in this Purchase Order.
- All work performed by the Electrical Engineer under this Purchase Order shall comply with the New Zealand Building Code, AS/NZS 3000 Wiring Rules, and all applicable Auckland Council bylaws and regulations pertaining to electrical installations in New Zealand Auckland.
- The Purchaser reserves the right to request revisions to design documentation at no additional cost, provided such revisions do not materially alter the original scope defined in this Purchase Order. Any changes constituting a variation to the scope shall be documented in a written Variation Order signed by both parties.
- Payment shall be made via bank transfer to the account nominated by the Electrical Engineer within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the New Zealand Late Payment of Commercial Debts Interest Rate Act 2002.
- The Electrical Engineer shall not subcontract any portion of the professional services outlined in this Purchase Order without the prior written consent of the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions as set forth herein.
- All intellectual property, design documents, calculations, and deliverables produced by the Electrical Engineer in the course of fulfilling this Purchase Order shall become the sole property of the Purchaser upon full payment of the Purchase Order value.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice if the other party commits a material breach and fails to remedy such breach within the notice period. Upon termination, the Purchaser shall pay for all services satisfactorily rendered up to the date of termination.
- The Electrical Engineer shall comply with all health and safety obligations under the Health and Safety at Work Act 2015 (New Zealand) while conducting any site-based activities in New Zealand Auckland.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electrical Engineer for the specified project in New Zealand Auckland.
