- This Purchase Order constitutes a binding agreement between Meridian Infrastructure & Power Solutions Ltd. (hereinafter "the Buyer") and VoltEdge Engineering & Consultancy Ltd. (hereinafter "the Supplier") for the provision of Electrical Engineer professional services and associated electrical equipment for the Lekki Phase 1 substation project located in Nigeria Lagos.
- All services rendered by the Electrical Engineer shall comply with the Nigerian Electricity Regulatory Commission (NERC) standards, the Nigerian Code of Practice for Electrical Installations (NCEI), and all applicable regulations of the Lagos State Ministry of Works and Infrastructure.
- The Supplier shall assign a lead Electrical Engineer who holds a valid registration with the Council for the Regulation of Engineering in Nigeria (COREN) and a minimum of ten (10) years of experience in high-voltage substation design and commissioning in the Nigeria Lagos region.
- Delivery of all equipment and completion of all services shall be made at the project site in Nigeria Lagos, specifically at the Lekki Phase 1 commercial district coordinates provided in the annexed site plan. The Supplier bears all transportation, logistics, and customs clearance costs for imported materials.
- Payment shall be made in Nigerian Naira (NGN) via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid tax invoice and a signed certificate of completion issued by the Buyer's project manager. No payment shall be due until the Electrical Engineer has submitted all deliverables for the relevant line item.
- The Supplier warrants that all equipment supplied under this Purchase Order shall be new, of first quality, and free from defects for a period of twenty-four (24) months from the date of commissioning. Any defect discovered within the warranty period shall be rectified at the Supplier's sole cost.
- The Electrical Engineer and all personnel deployed to the Nigeria Lagos site shall comply with all occupational health and safety regulations, including but not limited to the Federal Ministry of Labour and Employment guidelines and the Lagos State Occupational Safety and Health Act.
- Any variation or amendment to this Purchase Order must be agreed upon in writing by both parties. Verbal instructions shall not constitute a valid amendment.
- In the event of a dispute arising from this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. Failing resolution within fourteen (14) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Nigeria Lagos shall have exclusive jurisdiction over any matter not referred to arbitration.
- The Supplier shall maintain adequate professional indemnity and public liability insurance coverage for the duration of the project, with certificates of insurance to be provided to the Buyer prior to commencement of work at the Nigeria Lagos site.
