1. Description of ProcurementThis Purchase Order is issued by Volgograd Industrial Systems JSC for the engagement of a qualified Electrical Engineer to provide comprehensive electrical design, inspection, and commissioning services for the new manufacturing facility located in the industrial district of Russia Moscow. The Electrical Engineer shall be responsible for the full scope of electrical infrastructure planning, including power distribution systems, lighting design, grounding and lightning protection, and compliance with all applicable Russian Federation electrical safety standards (GOST R 50571, PUE 7th Edition) as enforced within the jurisdiction of Russia Moscow. The services described in this Purchase Order are critical to ensuring the operational readiness of the facility by the target completion date.
2. Scope of Services – Electrical EngineerThe Electrical Engineer engaged under this Purchase Order shall perform the following duties and deliverables:

All services rendered under this Purchase Order shall be performed at the project site located at 8, Industrialnyy Prospekt, Moscow, Russia Moscow 125212. The Electrical Engineer shall comply with all local regulations, building codes, and electrical safety directives issued by the municipal authorities of Russia Moscow. Any permits, inspections, or regulatory approvals required by the Russia Moscow city administration shall be coordinated by the Electrical Engineer in consultation with the Buyer's project management team. The jurisdiction for this Purchase Order is governed by the civil and commercial laws of the Russian Federation, with the city of Russia Moscow serving as the primary venue for any dispute resolution proceedings.
4. Terms and Conditions- Commencement Date: The Electrical Engineer shall commence all services no later than 1 July 2025. The total project duration under this Purchase Order is estimated at 120 calendar days from the commencement date.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of all design deliverables (Items 01–04), and 30% upon final acceptance of the as-built documentation and successful commissioning. All payments shall be made via bank transfer to the account of MosElectroConsulting LLC in rubles (RUB) within 15 business days of invoice receipt.
- Qualification Requirements: The Electrical Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Electrical Engineering from an accredited Russian or internationally recognized institution, possess a valid professional certification from the Russian Union of Electrical Engineers, and demonstrate a minimum of eight (8) years of experience in industrial electrical design within Russia Moscow or equivalent Russian industrial zones.
- Compliance: All deliverables must conform to GOST R 50571, PUE (Rules for Electrical Installations) 7th Edition, and all applicable decrees of the Russia Moscow municipal government regarding electrical infrastructure in commercial and industrial buildings.
- Confidentiality: The Electrical Engineer and the vendor shall treat all project data, site plans, and proprietary information as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or regulatory changes enacted by the Russia Moscow authorities.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Russia Moscow.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electrical Engineer for the project located in Russia Moscow. This document constitutes a binding commercial agreement between the Buyer and the Vendor effective from the date of the last signature.
