Scope of Engagement — Electrical Engineer ServicesThis Purchase Order is issued by Meridian Infrastructure Solutions Pte. Ltd. (hereinafter referred to as the "Purchaser") to VoltEdge Engineering Consultants Pte. Ltd. (hereinafter referred to as the "Supplier") for the provision of professional Electrical Engineer services in connection with the design, review, and commissioning of the electrical infrastructure for the Meridian Logistics Hub Project located at Jurong East, Singapore Singapore. The Electrical Engineer engaged under this Purchase Order shall be a Chartered Engineer registered with the Professional Engineers Board (PEB) of Singapore Singapore and shall hold a valid Professional Engineer (PE) licence in the discipline of Electrical Engineering.

- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- The Electrical Engineer assigned to this engagement must hold a valid Professional Engineer (PE) licence issued by the Professional Engineers Board of Singapore Singapore and must maintain professional indemnity insurance of no less than SGD 2,000,000 per occurrence for the duration of the contract.
- All deliverables under this Purchase Order shall comply with the Singapore Standards (SS), the Electricity Act 1965 of Singapore Singapore, and the relevant guidelines issued by the Energy Market Authority (EMA) and the Building and Construction Authority (BCA) of Singapore Singapore.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Supplier. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Interest on Debts Act of Singapore Singapore.
- The Supplier warrants that all Electrical Engineer services rendered under this Purchase Order shall be performed with due professional care, skill, and diligence in accordance with the standards of practice of the Institution of Engineers, Singapore Singapore (IES).
- Any variation or amendment to the scope of this Purchase Order must be agreed upon in writing by both parties. No verbal instructions shall constitute a valid variation to the Electrical Engineer engagement.
- The Supplier shall not subcontract any portion of the Electrical Engineer services without prior written consent from the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
- All intellectual property rights in the design documents, calculations, and reports produced by the Electrical Engineer under this Purchase Order shall vest in the Purchaser upon full payment of the total amount due.
- The Supplier shall comply with all applicable data protection requirements under the Personal Data Protection Act (PDPA) of Singapore Singapore in handling any personal data received in the course of this engagement.
- This Purchase Order becomes effective upon signature by both parties and shall remain in force until all obligations, including warranty and defect liability periods, have been fully discharged.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Electrical Engineer services in Singapore Singapore.
