1. This Purchase Order constitutes a binding agreement between Transnet Power Solutions (Pty) Ltd and Apex Electrical Engineering & Consulting (Pty) Ltd for the engagement of the Electrical Engineer as described herein. Both parties acknowledge that this Purchase Order is governed by the laws of the Republic of South Africa.
2. The Electrical Engineer shall be a registered Professional Engineer (Pr. Eng.) with the Professional Engineering Board of South Africa (PEB) and shall maintain valid professional indemnity insurance throughout the duration of this Purchase Order.
3. Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed by the Late Payment of Interest and Costs Act 15 of 2007 (South Africa).
4. The Electrical Engineer shall report directly to the Project Manager at the Johannesburg, South Africa site and shall adhere to all site safety protocols, including compliance with the Occupational Health and Safety Act 85 of 1993 and the Mine Health and Safety Act 29 of 1996 where applicable.
5. All deliverables, including design drawings, calculation reports, and commissioning certificates, shall be submitted in both hard copy and electronic (PDF and CAD) formats to the buyer's procurement office in Johannesburg, South Africa.
6. The supplier warrants that the Electrical Engineer shall perform all services in a professional, workmanlike manner in accordance with SANS 10142, SANS 10142-1, IEC 60364, and all applicable regulations of the South African National Energy Regulator (NERSA).
7. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination.
8. All intellectual property, design documents, and reports produced under this Purchase Order shall become the sole property of Transnet Power Solutions (Pty) Ltd upon full payment.
9. Disputes arising from this Purchase Order shall be resolved through arbitration in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
10. This Purchase Order is valid for a period of six (6) months from the date of issue, unless extended in writing by both parties.
