The supplier shall ensure that the assigned Electrical Engineer holds a valid Korean Registered Electrical Engineer (전기기사) license and possesses a minimum of ten (10) years of experience in commercial and industrial power systems. The supplier shall provide the Purchasing Party with the Electrical Engineer's curriculum vitae, license verification, and professional liability insurance certificate no later than five (5) business days prior to the commencement date.

• Payment Schedule: 30% advance payment upon execution of this Purchase Order; 40% upon completion of design and review deliverables; 30% upon successful commissioning and final acceptance in South Korea Seoul.

• 6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Seoul Central District Court in South Korea Seoul.
• 6.2 The supplier warrants that the Electrical Engineer assigned to this project shall perform all duties with the skill, care, and diligence expected of a reasonably competent professional in the electrical engineering field in South Korea.
• 6.3 All deliverables, including design drawings, calculation reports, test records, and as-built documentation, shall be submitted in both Korean and English. The intellectual property of all work product created under this Purchase Order shall vest in the Purchasing Party upon full payment.
• 6.4 The supplier shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of the engagement. A certificate of insurance shall be provided to the Purchasing Party prior to the start of work.
• 6.5 The Purchasing Party reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Electrical Engineer fails to meet the performance milestones outlined in the project schedule. In such event, the supplier shall be compensated only for work satisfactorily completed up to the date of termination.
• 6.6 The supplier shall comply with all applicable occupational safety and health regulations enforced by the Korean Ministry of Employment and Labor, particularly those governing electrical work at construction sites in South Korea Seoul.
• 6.7 Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be binding.
