- Scope and Professional Qualification: The Electrical Engineer engaged under this Purchase Order must hold a valid degree in Ingeniería Técnica Industrial (Especialidad Eléctrica) or Ingeniería Industrial from a recognised Spanish university and must be a registered member of the Colegio Oficial de Ingenieros Ténicos Industriales de Madrid. The Electrical Engineer shall maintain full professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of 300,000 EUR throughout the duration of the contract.
- Regulatory Compliance in Spain Madrid: All deliverables produced by the Electrical Engineer shall strictly adhere to the current edition of the REBT, the CTE DB-BT, and any specific technical conditions imposed by the Ayuntamiento de Madrid for electrical installations in the district of Madrid. The Electrical Engineer is solely responsible for ensuring that all designs and certifications meet the standards required by the Comunidad Autónoma de Madrid.
- Payment Schedule: Payment shall be made in three instalments: 30% upon signing of this Purchase Order, 40% upon completion of the design phase and submission of the Boletín Eléctrico, and 30% upon final acceptance and delivery of the as-built documentation. All payments shall be made via bank transfer to the account designated by the Electrical Engineer, with a 30-day payment term from the date of a valid invoice issued in accordance with Spanish tax regulations (Ley 58/2003, General Tax Law).
- Intellectual Property: All drawings, calculations, reports, and documentation produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of Madrid Infrastructure Solutions S.L. upon full payment. The Electrical Engineer retains the right to reference the project in a professional portfolio, subject to prior written consent from the Buyer.
- Confidentiality: The Electrical Engineer shall treat all information regarding the premises, business operations, and technical data as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the Spanish Data Protection Act (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electrical Engineer shall be compensated for all services rendered up to the date of termination, and all partially completed deliverables shall be handed over to the Buyer.
- Dispute Resolution and Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the competent courts of Madrid, Spain. The parties agree to attempt mediation through the Colegio Oficial de Ingenieros Ténicos Industriales de Madrid before initiating any judicial proceedings.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Madrid metropolitan area.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electrical Engineer for the specified project in Spain Madrid. This document constitutes a binding agreement between the parties as of the date of the last signature.
