2. Description of Purchase Order ScopeThis Purchase Order is issued by Nile Valley Infrastructure & Power Solutions Ltd. to formally procure the professional services of a qualified Electrical Engineer for the duration of the Al-Nil Substation Expansion Project located in the Omdurman sector of Sudan Khartoum. The Electrical Engineer engaged under this Purchase Order shall be responsible for the design review, load calculation, protective relay coordination, and commissioning oversight of all medium-voltage and low-voltage electrical systems within the project scope. The Electrical Engineer must hold a valid professional license issued by the Sudanese Engineers Syndicate and possess a minimum of ten (10) years of documented experience in power distribution systems within the Sudan Khartoum metropolitan area and its surrounding industrial zones.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan, specifically the Sudanese Commercial Code and the Sudanese Engineers Syndicate regulations applicable to the practice of an Electrical Engineer within the jurisdiction of Sudan Khartoum.
- Payment Terms: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the design and review phase, and 30% upon final commissioning and handover. All payments shall be made via bank transfer to the account designated by KEEC in a Sudanese commercial bank operating in Sudan Khartoum.
- Qualification Requirement: The Electrical Engineer assigned to this Purchase Order must submit a certified copy of their professional license, academic credentials (minimum B.Sc. in Electrical Engineering from a recognized institution), and a detailed CV demonstrating relevant experience in power substation projects within Sudan Khartoum prior to commencing work.
- Project Duration: The engagement of the Electrical Engineer under this Purchase Order shall commence on 1 July 2025 and is expected to conclude by 30 June 2026, subject to project milestones and any mutually agreed extensions in writing.
- Site Location: All on-site duties of the Electrical Engineer shall be performed at the Al-Nil Substation site, Omdurman, Sudan Khartoum. The Purchasing Party shall provide safe access, personal protective equipment (PPE), and a designated workspace at the project site.
- Confidentiality: The Electrical Engineer shall treat all project data, system schematics, load profiles, and operational parameters as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Electrical Engineer shall be compensated for all work completed and documented up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court in Sudan Khartoum.
- Compliance: The Electrical Engineer shall comply with all applicable Sudanese electrical codes, the Sudanese Standards and Metrology Organization (SSMO) regulations, and all safety directives issued by the Ministry of Electricity and Energy in Sudan Khartoum.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electrical Engineer in Sudan Khartoum. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
