This Purchase Order is issued by Helvetia Infrastructure Solutions AG for the engagement of a qualified Electrical Engineer to provide specialised technical services in support of the Zurich Electrical Grid Modernisation Project. The Electrical Engineer shall be based in Switzerland Zurich and shall report directly to the Project Director at the Limmatquai 10 facility. The scope of work encompasses the design, review, and commissioning of high-voltage distribution systems, low-voltage installation networks, and renewable energy integration modules within the greater Switzerland Zurich metropolitan area.
The selected Electrical Engineer must hold a recognised degree in Electrical Engineering (MSc or equivalent) from an accredited Swiss or internationally recognised institution, possess a minimum of eight (8) years of professional experience in power distribution systems, and be registered with the Swiss Federal Office of Energy (BFE). All work shall comply with Swiss electrical standards (SN 48100, SN 48120), the Swiss Federal Act on Electricity (StromVG), and all applicable cantonal regulations governing electrical installations in the Canton of Zurich.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Switzerland, specifically the Swiss Code of Obligations (OR). Any disputes arising from this Purchase Order relating to the engagement of the Electrical Engineer in Switzerland Zurich shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich.
- Qualification Requirements: The Electrical Engineer(s) assigned under this Purchase Order must maintain valid professional registration with the Swiss Federal Office of Energy (BFE) and the Swiss Society of Engineers and Architects (SIA). Proof of qualification shall be provided prior to the commencement of work in Switzerland Zurich.
- Insurance and Liability: The vendor shall maintain professional indemnity insurance with a minimum coverage of CHF 5,000,000 per claim, valid throughout the duration of this Purchase Order. All work performed by the Electrical Engineer in Switzerland Zurich shall be covered under the vendor's general liability and professional liability policies.
- Intellectual Property: All designs, calculations, schematics, and documentation produced by the Electrical Engineer in the course of this Purchase Order shall become the exclusive property of Helvetia Infrastructure Solutions AG upon full payment. The Electrical Engineer shall not reuse, reproduce, or disclose any project-specific information pertaining to the Switzerland Zurich grid infrastructure.
- Confidentiality: Both parties acknowledge that the technical specifications, grid topology data, and load profiles associated with the Switzerland Zurich electrical infrastructure are classified as commercially sensitive. The Electrical Engineer shall sign a separate Non-Disclosure Agreement (NDA) prior to accessing any proprietary data.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Electrical Engineer shall complete all in-progress deliverables and hand over all documentation to the buyer within thirty (30) days of the termination effective date.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the vendor's Swiss bank account within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the Swiss statutory rate of 5% per annum.
- Health, Safety, and Environment: The Electrical Engineer shall comply with all Swiss occupational safety regulations (ArG, ArGVV) and the site-specific safety plan established for the Switzerland Zurich project location. Personal protective equipment (PPE) compliant with Swiss standards shall be worn at all times on-site.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, acts of war, or government-imposed restrictions affecting operations in Switzerland Zurich.
- Amendments: Any modifications to this Purchase Order, including changes to the scope of work for the Electrical Engineer or adjustments to the project timeline in Switzerland Zurich, must be documented in a written amendment signed by authorised representatives of both parties.
By signing below, both parties confirm their agreement to the terms set forth in this Purchase Order for the engagement of the Electrical Engineer services in Switzerland Zurich. This document constitutes a binding procurement agreement effective from the date of the last signature.
