• Final Payment: 20% (TRY 257,600.00) upon completion of on-site commissioning, final inspection sign-off, and delivery of as-built drawings.
• All payments are subject to the receipt of a valid fatura (invoice) and the applicable KDV (VAT) documentation as required by Turkish tax law.

• Design Phase: Commence within 15 calendar days of Purchase Order acceptance; deliverable within 90 calendar days.
• Regulatory Submission: Within 30 calendar days of design approval.
• Site Supervision: Aligned with the construction timeline in Turkey Ankara; minimum 6 consecutive months of on-site presence.
• Commissioning & Handover: Within 15 calendar days of construction completion.

• This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Ankara, Turkey.
• The Electrical Engineer engaged under this Purchase Order must hold a valid TMMOB (Turkish Chamber of Engineers) professional license and a minimum of 10 years of experience in commercial and residential electrical systems in Turkey Ankara or equivalent metropolitan areas.
• The supplier shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of the contract.
• The Buyer reserves the right to request revisions to the electrical design at no additional cost, provided such revisions do not exceed 15% of the original scope defined in this Purchase Order.
• Confidentiality: All technical drawings, system schematics, and proprietary data generated under this Purchase Order for the Turkey Ankara project shall remain the exclusive property of the Buyer. The Electrical Engineer and all sub-consultants shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Turkey Ankara, or pandemics, as defined under Turkish Civil Code Article 136.
• Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date, as documented in the Purchase Order line items.
• The Electrical Engineer shall comply with all applicable environmental regulations of the Ankara Metropolitan Municipality and the Ministry of Environment, Urbanization and Climate Change of the Republic of Turkey.
