- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
- The Electrical Engineer engaged under this Purchase Order shall comply with all applicable regulations of the Turkish Ministry of Energy and Natural Resources, the Istanbul Metropolitan Municipality electrical codes, and the standards published by the Turkish Standards Institution (TSE).
- Payment shall be made in Turkish Lira (TRY) via bank transfer to the supplier's designated account in Istanbul, Turkey, within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate determined by the Central Bank of the Republic of Turkey.
- The Electrical Engineer shall provide a minimum of two (2) weeks' written notice before any absence from the project site. Unplanned absences exceeding three (3) consecutive working days shall entitle the buyer to a proportional deduction of 5% of the monthly service fee.
- All deliverables, including design documents, calculation reports, and commissioning records, shall be submitted in both Turkish and English to the buyer's project management office in Istanbul, Turkey, within the timelines specified in the attached project schedule.
- The supplier warrants that the Electrical Engineer assigned to this Purchase Order holds a current, valid professional license from the Istanbul Chamber of Electrical Engineers (İMM) and carries professional liability insurance with a minimum coverage of TRY 5,000,000.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
- The supplier shall maintain full confidentiality of all proprietary technical data, plant layouts, and operational parameters disclosed during the course of this engagement in Turkey Istanbul.
- Force majeure events, including but not limited to natural disasters affecting the Istanbul region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.
