The engagement is governed by the terms set forth in this Purchase Order and the applicable regulations of the Abu Dhabi Department of Municipalities and Transport (DMT) and the Abu Dhabi Utilities Company (ADUC).

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both authorized representatives. All services shall be rendered in Abu Dhabi, United Arab Emirates, in strict compliance with federal and emirate-level regulations.
2. The Electrical Engineer assigned under this Purchase Order must hold a minimum of a Bachelor’s degree in Electrical Engineering from an ABET-accredited or equivalent institution, possess a valid UAE professional license issued by the Abu Dhabi Department of Economic Development (AED), and carry a minimum of eight (8) years of demonstrated experience in commercial and industrial electrical projects within the United Arab Emirates.
3. The Supplier shall provide the Buyer with a copy of the Electrical Engineer’s professional license, CV, and proof of professional indemnity insurance (minimum coverage of AED 5,000,000) prior to commencement of work.
4. Payment shall be made via bank transfer to the Supplier’s designated account in the United Arab Emirates within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under UAE commercial law.
5. The Supplier is responsible for all work visas, labor permits, medical fitness certificates, and Emirates ID processing for the Electrical Engineer and any supporting technical staff deployed in Abu Dhabi.
6. All deliverables, including design drawings, calculation reports, test certificates, and as-built documentation, shall be submitted in both Arabic and English to satisfy Abu Dhabi municipal and utility authority requirements.
7. This Purchase Order is subject to the UAE Federal Commercial Transactions Law (Federal Decree-Law No. 50 of 2022) and the UAE Value Added Tax Law (Federal Decree-Law No. 8 of 2017). Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts of First Instance, and the parties consent to the exclusive jurisdiction of the courts in Abu Dhabi, United Arab Emirates.
8. The Supplier shall not subcontract any portion of the Electrical Engineer services without prior written consent from the Buyer. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order.
9. Force majeure events, including but not limited to government-mandated shutdowns in Abu Dhabi, shall suspend obligations under this Purchase Order for the duration of the event, with a maximum extension of sixty (60) days.
10. This Purchase Order may be amended only by a written addendum signed by both parties. No verbal or electronic communications (other than those expressly authorized herein) shall modify the terms of this document.
