1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All work shall be performed in accordance with the laws of England and Wales and applicable regulations within the United Kingdom.
2. The Electrical Engineer appointed by the Supplier shall maintain full professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of the engagement in Birmingham, United Kingdom.
3. All deliverables, including design documents, reports, and drawings produced by the Electrical Engineer, shall become the sole property of the Buyer upon full payment of the amounts specified in this Purchase Order.

6. Any variation to the scope of work must be agreed in writing by both parties prior to commencement. No additional charges will be accepted without a formal Purchase Order amendment issued by the Buyer.
7. The Supplier shall comply with all health and safety legislation, including the Electricity at Work Regulations 1989, the Management of Health and Safety at Work Regulations 1999, and all local authority requirements applicable to the Birmingham, United Kingdom site.
8. Disputes arising from this Purchase Order shall be resolved in accordance with the rules of arbitration under the Arbitration Act 1996, with the seat of arbitration in Birmingham, United Kingdom.
9. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. The courts of Birmingham, United Kingdom shall have exclusive jurisdiction.
