1. This Purchase Order constitutes a binding agreement between Meridian Infrastructure Solutions, Inc. (hereinafter "Buyer") and Apex Electrical Engineering Consultants LLC (hereinafter "Vendor") for the provision of professional Electrical Engineer services in the City of Los Angeles, State of California, United States of America.
2. The Electrical Engineer shall hold a valid California Professional Engineer (PE) license in the discipline of Electrical Engineering and shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this engagement.
3. All deliverables shall be produced in accordance with the American National Standards Institute (ANSI) drafting standards and the California Building Standards Code. The Electrical Engineer is responsible for ensuring that all designs meet the specific electrical requirements of the City of Los Angeles, including but not limited to seismic bracing of electrical equipment per the Los Angeles Building Code.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-LA-04782) and shall be submitted to the Buyer's accounts payable department at the Los Angeles, United States office address listed above.
5. The Vendor shall not assign or subcontract any portion of the Electrical Engineer services without prior written consent from the Buyer. All work shall be performed by or under the direct supervision of the named Principal Electrical Engineer.
6. This Purchase Order is governed by the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, United States.
7. The Vendor shall comply with all applicable federal, state, and local regulations, including the California Labor Code, the Occupational Safety and Health Administration (OSHA) standards, and the Los Angeles Municipal Code.
