Terms and Conditions
- Scope of Work: This Purchase Order authorizes the engagement of the named Electrical Engineer and his firm to perform the professional engineering services described in the line items above. All work shall be performed in and around the Miami metropolitan area, United States, in strict accordance with the scope defined herein and any mutually agreed change orders in writing.
- Licensing and Compliance: The Electrical Engineer shall maintain an active Florida Professional Engineer license throughout the duration of this Purchase Order. All deliverables must comply with the 2023 NEC, Florida Building Code, Miami-Dade County amendments, and all applicable federal, state, and local regulations governing electrical work in the United States.
- Payment Terms: Payment shall be made net thirty (30) days from receipt of a valid invoice corresponding to completed milestones. Invoices must reference this Purchase Order number (PO-2025-MIA-04782) and be submitted electronically to [email protected]. Late payments shall accrue interest at 1.5% per month.
- Insurance: The Electrical Engineer shall carry, at minimum, a Commercial General Liability policy of $2,000,000 per occurrence, Professional Liability (Errors & Omissions) coverage of $5,000,000, and Workers' Compensation as required by Florida state law. Certificates of insurance naming South Florida Infrastructure Solutions, Inc. as additional insured must be provided prior to commencement of work.
- Intellectual Property: All drawings, calculations, reports, and design documents produced under this Purchase Order shall become the sole property of South Florida Infrastructure Solutions, Inc. upon full payment. The Electrical Engineer retains the right to use general methodologies and non-proprietary knowledge in future engagements.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination for convenience, the Electrical Engineer shall be compensated for all services rendered and documented expenses incurred up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
- Confidentiality: The Electrical Engineer agrees to treat all project data, site plans, and client information as strictly confidential and shall not disclose such information to third parties without prior written consent from the purchasing entity.
