The Electrical Engineer shall be responsible for all aspects of low-voltage and high-voltage system design, load calculations, single-line diagram preparation, and coordination with the San Francisco Department of Building Inspection (SFDBI) to ensure full compliance with the 2023 California Electrical Code (Title 24 Part 6) and all applicable United States San Francisco municipal ordinances governing commercial electrical installations.

1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the vendor. The vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement of the Electrical Engineer services described herein.
2. Performance Period: All Electrical Engineer services shall be performed between June 20, 2025, and November 15, 2025, unless otherwise extended in writing by mutual agreement of both parties.
3. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon delivery of 80% of design documentation, and 30% upon final commissioning and issuance of the Certificate of Occupancy by the United States San Francisco Building Department.
4. Licensing and Compliance: The Electrical Engineer of record shall maintain an active California Professional Engineer (PE) license and shall comply with all regulations set forth by the California Board for Professional Engineers, Land Surveyors, and Geologists, as well as all local United States San Francisco building and electrical codes.
5. Insurance: The vendor shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of no less than $1,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided prior to commencement of work.
6. Intellectual Property: All design documents, calculations, and deliverables produced under this Purchase Order shall become the exclusive property of Pacific Bay Infrastructure Solutions, Inc. upon full payment.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all Electrical Engineer services rendered up to the date of termination.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of the City and County of San Francisco, United States San Francisco.
9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith mediation in United States San Francisco before either party may initiate litigation.
10. Change Orders: Any modifications to the scope of Electrical Engineer services must be documented in a written Change Order signed by both parties prior to execution of the additional work.
