- Delivery and Commencement: The Electrician shall commence all electrical works on or before 1 July 2025 at the designated site in DR Congo Kinshasa. All materials and equipment must be delivered to the site no later than 28 June 2025.
- Completion Deadline: All works described in this Purchase Order must be completed, tested, and certified no later than 30 September 2025. Any delay beyond this date shall incur a penalty of 0.5% of the total contract value per calendar day of delay.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon completion of 70% of the electrical works as verified by the Buyer's site engineer, and the remaining 20% upon final inspection, certification, and handover in DR Congo Kinshasa. All payments shall be made via bank transfer to the account specified by ElectroTech Congo Services.
- Warranty: The Electrician provides a minimum 24-month warranty on all labor and workmanship. All electrical components and materials carry their respective manufacturer warranties. Any defects discovered during the warranty period shall be rectified at no additional cost to the Buyer.
- Compliance and Safety: The Electrician and all personnel working on this project in DR Congo Kinshasa must adhere to all applicable safety regulations, labor laws of the Democratic Republic of the Congo, and the specific electrical codes enforced by the national utility (SNEL) and the Gombe municipal authority. All workers must possess valid certifications and appropriate personal protective equipment.
- Insurance: The Electrician shall maintain comprehensive liability insurance, workers' compensation coverage, and professional indemnity insurance throughout the duration of the project. Certificates of insurance must be provided prior to commencement of work.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Kinshasa Chamber of Commerce and Industry in DR Congo Kinshasa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, specifically as applicable in the city of Kinshasa.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-mandated shutdowns, or prolonged power outages affecting the DR Congo Kinshasa region, provided that the affected party notifies the other within 48 hours.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical specifications, pricing, and project details contained in this Purchase Order and any related documentation.
