- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Electrician vendor. The vendor shall sign and return a copy of this document within five (5) business days of receipt to confirm acceptance of all terms.
- Scope Adherence: The Electrician shall perform all work strictly in accordance with the specifications outlined in this Purchase Order, the Ghana Building Code, and the regulations of the Energy Commission of Ghana. Any deviation from the agreed scope must be approved in writing by the project manager at Accra Electrical Solutions Ltd. prior to execution.
- Timeline: All Electrician services shall be completed no later than 28 June 2025. The vendor shall provide a detailed work schedule within three (3) business days of accepting this Purchase Order. Delays exceeding five (5) working days without a documented force majeure event shall attract a penalty of 0.5% of the total contract value per day of delay.
- Payment Schedule: Payment shall be made in three (3) tranches: 30% upon commencement of work, 50% upon completion of all installation work and prior to final inspection, and 20% upon successful issuance of the Certificate of Electrical Compliance and handover. All payments shall be made via bank transfer to the vendor's designated account in Ghana Accra within thirty (30) days of invoice submission.
- Insurance and Liability: The Electrician vendor shall maintain comprehensive public liability insurance of not less than GHS 5,000,000 and workers' compensation insurance for all personnel working on-site in Ghana Accra for the duration of the project. The vendor shall indemnify the purchaser against any claims arising from negligence, defective workmanship, or non-compliance with Ghanaian electrical safety standards.
- Materials and Quality: All electrical materials, cables, fittings, and equipment supplied under this Purchase Order shall be new, of genuine manufacturer origin, and certified by the Standards Authority of Ghana (GSA). The Electrician shall provide material data sheets and warranties for all installed components.
- Site Access and Safety: The vendor shall comply with all site safety protocols at the Ghana Accra project location. All Electrician team members must wear appropriate personal protective equipment (PPE) and hold valid Ghanaian electrical work permits. The vendor shall obtain any necessary permits from the Accra Metropolitan Assembly prior to commencing work.
- Warranty: The Electrician shall provide a minimum twelve (12) month warranty on all labour and workmanship, and the manufacturer's standard warranty on all supplied equipment. Any defects discovered within the warranty period shall be rectified at no additional cost to the purchaser.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this agreement shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 1998 (Act 562).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, pricing, and technical information exchanged under this Purchase Order.
