Ltd. to VoltEdge Electrical Services LLP for the provision of comprehensive Electrician services at the buyer's commercial premises located in India Bangalore. The scope encompasses all electrical installation, maintenance, inspection, and repair works as detailed below. The Electrician team shall be fully licensed, insured, and compliant with all applicable regulations of the Karnataka State Electricity Board and the Bureau of Indian Standards (BIS).

• 30% advance payment (INR 3,50,460.00) upon acceptance of this Purchase Order.
• 40% milestone payment (INR 4,67,280.00) upon completion of rewiring and fixture installation (Line Items 1 & 2).
• 20% payment (INR 2,33,640.00) upon successful commissioning of HVAC circuits and earthing system (Line Items 3 & 4).
• 10% final payment (INR 1,16,820.00) upon delivery of the electrical safety audit report and issuance of the KSEB compliance certificate for the India Bangalore premises.
• Annual maintenance and emergency service charges (Line Items 5 & 6) shall be billed quarterly in arrears.
• All payments shall be made via NEFT/RTGS to the supplier's designated bank account. No cash transactions are permitted under this Purchase Order.

• The Electrician service provider shall ensure that all work is performed by licensed and certified electricians registered with the Karnataka State Electricity Board. A copy of the valid licence shall be submitted prior to commencing work.
• All materials, wiring, panels, and fixtures used shall comply with Bureau of Indian Standards (BIS) and carry the ISI mark. The supplier shall provide material test certificates upon request.
• The Electrician team shall adhere to all safety protocols as prescribed by the Factory Act, 1948, and the Electricity Act, 2003, applicable in India Bangalore.
• Work shall be executed between 08:00 AM and 06:00 PM on weekdays. Any after-hours or weekend work requires prior written approval from the buyer's Project Manager.
• The supplier shall maintain a minimum of INR 50,00,000 public liability insurance covering all personnel and operations within the India Bangalore site.
• Warranty: All installation work carries a 24-month warranty from the date of commissioning. The annual maintenance contract (Line Item 5) includes all labour and standard consumables.
• Any variation or change in scope must be documented through a formal Purchase Order amendment signed by both parties. Verbal instructions shall not be valid.
• In the event of a dispute, the matter shall be resolved through arbitration in India Bangalore as per the Arbitration and Conciliation Act, 1996. The jurisdiction of courts in India Bangalore shall apply.
• This Purchase Order is governed by the laws of India. All communications regarding this Purchase Order shall be in English.
• The supplier shall not subcontract any portion of the Electrician work without prior written consent from the buyer.

Work shall commence on or before 25 June 2025 at the buyer's premises in India Bangalore. The complete installation and commissioning shall be finished within 45 calendar days from the commencement date. The annual maintenance and emergency service contracts shall become effective from the date of final commissioning.
