1. Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 50% upon completion of all installation work and passing of interim inspection by the Osaka City Electrical Safety Inspector, and the remaining 20% upon final acceptance and delivery of all documentation. All payments shall be made via bank transfer to the Electrician's designated account within Osaka, Japan.
2. Schedule: The Electrician shall mobilize to the Japan Osaka project site no later than June 20, 2025, and shall complete all work by July 25, 2025. Work hours are restricted to 08:00–18:00 JST, Monday through Friday, in accordance with Osaka municipal noise and construction regulations. Weekend work requires prior written approval from the building management office.
3. Compliance and Safety: The Electrician shall maintain all necessary licenses, including the Osaka Prefecture Electrical Work Contractor License and individual First-Class Electrician certifications for all personnel on site. All work must comply with the Japanese Electrical Work Act, JIS standards, and the specific electrical safety codes enforced in Japan Osaka. The Electrician shall carry a minimum of 100 million JPY in liability insurance covering all operations at the Japan Osaka site.
4. Materials: All electrical materials, components, and equipment supplied by the Electrician shall be new, of Japanese domestic or equivalent international quality, and shall bear the appropriate JIS or PSE certification marks. Substitutions require prior written approval from the project engineer.
5. Warranty: The Electrician shall provide a minimum 24-month warranty on all labor and materials from the date of final acceptance. Any defects discovered during the warranty period shall be rectified by the Electrician at no additional cost within 72 hours of notification.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan Osaka, under the rules of the Japan Commercial Arbitration Association.
7. Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation after work has commenced, the Electrician shall be compensated for all work completed and materials procured up to the date of cancellation.
Important Note for Japan Osaka Site: The Electrician is reminded that all electrical work in the Sumiyoshi-ku district of Japan Osaka requires prior notification to the Osaka City Building Standards Bureau at least 5 business days before commencement. Additionally, the Electrician must coordinate with the building's existing tenant operations to minimize disruption.
