4.1 Acceptance. This Purchase Order shall be deemed accepted by the Electrician upon written confirmation (email or signed copy) returned to the Purchaser within five (5) business days of the date of issue. Failure to respond within this period shall be taken as acceptance of all terms herein.

4.2 Payment Terms. Payment shall be made within fourteen (14) calendar days of receipt of a valid tax invoice from the Electrician. A 30% deposit is due upon acceptance of this Purchase Order. The remaining balance shall be invoiced in two equal instalments: 50% upon completion of items 01–04, and 50% upon completion of items 05–06. All payments shall be made by bank transfer to the account nominated by the Electrician in New Zealand Wellington.

4.3 Compliance and Licensing. The Electrician warrants that all work performed under this Purchase Order shall comply with the New Zealand Electrical Wiring Regulations, the Building Act 2004, and all requirements of the Wellington City Council. The Electrician shall provide a Certificate of Compliance (CoC) for each completed item prior to final payment. The Electrician's licence and all sub-contractor registrations must remain current for the duration of the contract.

4.4 Insurance. The Electrician shall maintain, at its own cost, public liability insurance of no less than NZD 10,000,000 and professional indemnity insurance of no less than NZD 2,000,000 for the entire duration of the works. Certificates of insurance shall be provided to the Purchaser prior to commencement of work on site in New Zealand Wellington.

4.5 Health and Safety. The Electrician shall comply with the Health and Safety at Work Act 2015 (New Zealand) and shall provide a site-specific Risk Assessment and Method Statement (RAMS) prior to commencing any work. All personnel on site shall hold valid White Card (General Construction Induction) and appropriate electrical safety training.

4.6 Defects and Warranty. All workmanship under this Purchase Order carries a minimum twelve (12) month warranty from the date of practical completion. All materials and components carry the manufacturer's standard warranty. The Electrician shall rectify any defects identified within the warranty period at no additional cost to the Purchaser.

4.7 Cancellation and Variation. Either party may cancel this Purchase Order with fourteen (14) days' written notice. Any variation to the scope of work must be agreed in writing as a formal variation to this Purchase Order prior to commencement of the additional work. No verbal instructions shall be binding.

4.8 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of New Zealand Wellington.

4.9 Confidentiality. Both parties agree to treat all information exchanged under this Purchase Order as confidential and shall not disclose it to third parties without prior written consent, except as required by law or regulatory authority in New Zealand.
