This Purchase Order is issued by Lagos Power & Infrastructure Solutions Ltd. (hereinafter referred to as the "Purchaser") to BrightVolt Electrical & Engineering Services (hereinafter referred to as the "Electrician" or "Vendor") for the supply, installation, and commissioning of electrical infrastructure at the Purchaser's commercial premises located in Nigeria Lagos. This Purchase Order constitutes a binding agreement upon acceptance by the Electrician and governs all terms, conditions, and obligations related to the scope of work described herein.

Terms and Conditions- Acceptance: This Purchase Order shall become effective upon written acceptance by the Electrician within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Scope Compliance: The Electrician shall perform all work in strict accordance with the Nigerian Building Code and Planning Standards (NBCPS), the Electricity Act 2015, and all applicable regulations of the Lagos State Ministry of Works and Housing. All materials supplied must be of Nigerian Standards Organisation (SON) certified quality.
- Timeline: The Electrician shall mobilise to the project site in Nigeria Lagos within seven (7) calendar days of Purchase Order acceptance and shall complete all installation and commissioning work no later than 30 July 2025. Delays attributable to the Electrician shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Payment: Payment shall be made via bank transfer to the Electrician's designated account. Sixty percent (60%) of the Purchase Order total shall be disbursed upon verified commencement of work. The remaining forty percent (40%) shall be released within fourteen (14) days of successful final inspection and issuance of the Certificate of Compliance by the Purchaser's appointed engineer.
- Warranty: The Electrician warrants all workmanship and materials for a period of twenty-four (24) months from the date of final acceptance. Any defects arising within this warranty period shall be rectified by the Electrician at no additional cost to the Purchaser.
- Insurance and Indemnity: The Electrician shall maintain comprehensive public liability insurance of not less than NGN 50,000,000.00 and workers' compensation insurance for all personnel deployed at the Nigeria Lagos site throughout the duration of this Purchase Order.
- Regulatory Compliance: The Electrician is solely responsible for obtaining all necessary permits, approvals, and inspections from the Lagos State Electricity Distribution Company (Eko Electricity), the Nigerian Electricity Regulatory Commission (NERC), and the Lagos State Fire and Rescue Service prior to energisation of any circuit.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Nigeria Lagos. Should mediation fail within thirty (30) days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed shutdowns, or prolonged grid failures in Nigeria Lagos, provided that the affected party notifies the other in writing within 48 hours.
By signing below, both parties acknowledge that this Purchase Order represents a mutually agreed-upon contract for the Electrician services and electrical infrastructure works described herein, to be executed at the designated site in Nigeria Lagos.
