This Purchase Order is issued by Socodim Immobilier S.A. to ÉlectroDakar Services SARL, a licensed and certified Electrician firm operating in Senegal Dakar, for the complete electrical installation, inspection, and maintenance of the residential complex located at 12 Boulevard de la République, Plateau, Dakar. 1. Delivery and Installation Timeline: The Electrician contractor shall commence work within five (5) business days of the formal acceptance of this Purchase Order. All installation work in Senegal Dakar shall be completed no later than 30 September 2025. The maintenance contract (Item 07) shall activate upon final commissioning sign-off.
2. Payment Terms: Payment shall be made in three (3) tranches: 30% upon signing of this Purchase Order, 50% upon completion of all installation work and successful SNE inspection, and 20% upon final acceptance and handover of as-built documentation. All payments shall be made via bank transfer to the account of ÉlectroDakar Services SARL at Banque Atlantique Sénégal, Dakar.
3. Compliance and Licensing: The Electrician firm must hold a valid electrical installation licence issued by the Senegalese Ministry of Energy and must ensure that all technicians assigned to this project in Dakar are certified under the Senegalese professional qualification framework. Copies of all licences and certifications must be submitted prior to commencement.
4. Safety and Insurance: The Electrician contractor shall maintain comprehensive liability insurance (minimum 50,000,000 XOF coverage) and workers' compensation insurance throughout the duration of the project. All work in Senegal Dakar must comply with the occupational health and safety regulations enforced by the Direction du Travail et de la Sécurité Sociale.
5. Warranty: The Electrician provides a minimum two-year warranty on all labour and workmanship, and a five-year warranty on all installed electrical components. Any defects discovered within the warranty period shall be rectified at no additional cost to the Buyer.
6. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Buyer shall pay for all work completed and materials procured up to the date of termination, as certified by the Electrician contractor's project manager.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within fifteen (15) days, the matter shall be referred to the competent commercial court of Dakar, Senegal, in accordance with the Senegalese Code of Commerce.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including all applicable regulations of the City of Dakar.
