- Scope of Work: The Electrician contractor, Boma Electrical Solutions & Services Ltd., shall perform all electrical installation, wiring, fitting, testing, and commissioning works as described in the line items above at the project site located in Tanzania Dar es Salaam. All work shall comply with the Tanzania Building Standards Authority (TBSA) regulations, the Tanzania Electric Supply Company (TANESCO) connection requirements, and the International Electrotechnical Commission (IEC) standards as adopted in Tanzania.
- Qualifications: The lead Electrician and all team members assigned to this Purchase Order must hold valid Tanzania-recognized electrical trade certificates. The contractor must maintain a current TBSA electrical contractor license throughout the duration of the project in Tanzania Dar es Salaam.
- Payment Terms: Payment shall be made in Tanzanian Shillings (TZS) via bank transfer to the supplier's designated account. A 30% advance payment (TZS 53,595,600) shall be released upon signing of this Purchase Order. 40% (TZS 71,460,800) shall be paid upon completion of 70% of the installation works and verified by the Purchaser's site engineer. The remaining 30% (TZS 53,595,600) shall be paid within 14 business days of final acceptance, commissioning, and issuance of the electrical safety certificate by the Electrician.
- Warranty: The Electrician contractor guarantees all workmanship and materials for a period of twenty-four (24) months from the date of final acceptance. Any defects arising from faulty installation or substandard materials within this warranty period shall be rectified by the Electrician at no additional cost to the Purchaser.
- Insurance and Liability: The Electrician contractor shall maintain comprehensive public liability insurance of not less than TZS 500,000,000 and workers' compensation insurance for all personnel working on-site in Tanzania Dar es Salaam. The contractor assumes full liability for any damage to existing structures, equipment, or third-party property caused during the execution of works under this Purchase Order.
- Health, Safety, and Environment: All Electrician personnel shall comply with the Tanzania Occupational Safety and Health Act (OSHA) 2003. The contractor shall provide all necessary personal protective equipment (PPE), conduct daily safety briefings, and maintain a safe working environment at the Tanzania Dar es Salaam project site. Work at height, live electrical work, and confined space entry shall follow approved method statements.
- Delays and Penalties: In the event that the Electrician fails to complete the works by the stipulated completion deadline of 15 July 2025, a penalty of 0.5% of the total Purchase Order value per calendar day of delay shall be deducted from the final payment, up to a maximum of 10% of the total contract value.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Tanzania Arbitration Act, with the seat of arbitration in Tanzania Dar es Salaam. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. All references to Tanzania Dar es Salaam in this document pertain to the geographic and administrative jurisdiction of the project.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Tanzania Dar es Salaam, provided that the affected party notifies the other in writing within 48 hours.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Electrician services to be executed in Tanzania Dar es Salaam. This document constitutes a binding agreement upon execution by both authorized representatives.
