- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific commercial regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts of First Instance.
- Electrician Qualifications: The Electrician and all personnel assigned to this project must hold valid ADWEA licenses, UAE Civil Defense certifications, and current trade permits issued by the Abu Dhabi Department of Economic Development. The Electrician shall present copies of all licenses prior to commencing work.
- Timeline: All works described in this Purchase Order must be completed within 45 (forty-five) calendar days from the date of acceptance. The Electrician shall submit a detailed project schedule within 5 business days of receiving this Purchase Order.
- Payment Schedule: 30% advance payment upon signing; 40% upon completion of installation works (Items 02–04); 30% upon final inspection, ADWEA certification, and handover. All payments shall be made via bank transfer to the Electrician’s designated account in the United Arab Emirates Abu Dhabi.
- Warranty: The Electrician shall provide a minimum 24-month warranty on all labor and materials. Any defects discovered during the warranty period shall be rectified by the Electrician at no additional cost within 72 hours of notification.
- Health, Safety & Environment: The Electrician shall comply with all OHS requirements set by the Abu Dhabi Occupational Safety and Health Centre (ADOSH). A valid HSE plan must be submitted before site access is granted.
- Insurance: The Electrician shall maintain comprehensive general liability insurance of not less than AED 5,000,000 and workers’ compensation coverage for all personnel operating in United Arab Emirates Abu Dhabi.
- Termination: Either party may terminate this Purchase Order with 14 days’ written notice. In the event of termination, the Electrician shall be compensated for work completed and materials procured up to the termination date.
- Confidentiality: The Electrician shall treat all site plans, electrical schematics, and operational data as confidential and shall not disclose them to third parties without written consent from the Purchasing Entity.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Abu Dhabi, or acts of war.
