5.1 Payment Terms: The buyer shall remit payment within thirty (30) days of receipt of a valid invoice from the Electrician. A 10% mobilization deposit is due upon execution of this Purchase Order. The remaining balance shall be paid in two equal installments: 50% upon substantial completion of all electrical work and 50% upon final LADBS inspection sign-off and delivery of the as-built electrical drawings.
5.2 Performance Schedule: The Electrician shall commence work no later than June 23, 2025, and shall achieve substantial completion by July 11, 2025. Final inspection and punch-list resolution must be completed by July 18, 2025. Time is of the essence under this Purchase Order.
5.3 Compliance and Licensing: The Electrician warrants that all personnel performing work under this Purchase Order hold valid California electrical licenses. The Electrician shall maintain all required insurance coverage, including general liability, workers' compensation, and professional liability, for the duration of the project. The Electrician is solely responsible for obtaining all necessary permits from the Los Angeles Department of Building and Safety and the Los Angeles Department of Water and Power (LADWP) where applicable.
5.4 Workmanship and Warranty: All electrical work performed under this Purchase Order shall be free from defects in materials and workmanship for a period of two (2) years from the date of final acceptance. The Electrician shall correct any defective work at no additional cost to the buyer within ten (10) business days of written notice.
5.5 Safety and Site Rules: The Electrician shall adhere to all OSHA regulations, Los Angeles Municipal Code safety provisions, and the buyer's site-specific safety plan. All work shall be performed in a manner that minimizes disruption to ongoing tenant operations at the Wilshire Boulevard property.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of Los Angeles County, United States.
5.7 Cancellation: Either party may cancel this Purchase Order with fourteen (14) days' written notice. In the event of cancellation by the buyer after work has commenced, the buyer shall compensate the Electrician for all materials procured and labor performed up to the date of cancellation.
