4.1 Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Electrician. A 50% deposit is due upon execution of this Purchase Order. The remaining 50% shall be due upon successful completion of all work, final inspection sign-off by the City of Miami, and delivery of the as-built electrical drawings. Late payments shall accrue interest at 1.5% per month.
4.2 Schedule and Milestones: The Electrician shall mobilize on-site no later than June 23, 2025. All installation work shall be completed by August 15, 2025. Final inspections and punch-list resolution shall be completed by August 29, 2025. The Electrician shall provide a detailed project schedule within five (5) business days of this Purchase Order's effective date.
4.3 Compliance and Licensing: The Electrician warrants that all work performed under this Purchase Order shall comply with the NEC 2023, Florida Building Code, and all City of Miami, United States Miami municipal regulations. The Electrician shall maintain all required licenses, insurance (minimum $2,000,000 general liability and $1,000,000 workers' compensation), and certifications throughout the duration of this engagement.
4.4 Weather and Force Majeure: Given the tropical climate of United States Miami, the Electrician shall account for potential delays caused by hurricane season, tropical storms, or extreme weather events. Delays exceeding five (5) business days due to declared weather emergencies shall extend the completion deadline on a day-for-day basis without penalty to either party.
4.5 Change Orders: Any modifications to the scope of work outlined in this Purchase Order must be documented in a written Change Order signed by both the Buyer's authorized representative and the Electrician's project manager before additional work commences.
4.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Miami-Dade County, United States Miami, in accordance with Florida Statutes Chapter 672. If mediation fails, binding arbitration shall take place in the City of Miami under the rules of the American Arbitration Association.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida and the federal laws of the United States applicable in Miami, Florida.
