4.1 Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of all installation work and prior to final inspection, and 30% upon receipt of the final Certificate of Occupancy amendment from the New York City Department of Buildings. All payments shall be made via wire transfer to the account designated by the Electrician in writing.
4.2 Schedule: The Electrician shall commence work no later than June 23, 2025, and shall complete all work no later than July 30, 2025. Work hours are restricted to 7:00 AM – 6:00 PM, Monday through Friday, in accordance with United States New York City noise and construction ordinances (NYC Administrative Code Title 24). Any work performed outside these hours requires prior written approval from the Buyer and a separate NYC permit.
4.3 Permits and Compliance: The Electrician is solely responsible for obtaining all required electrical permits from the New York City Department of Buildings prior to commencing any work. All work must comply with the New York City Electrical Code, the New York State Uniform Fire Prevention and Building Code, and all applicable OSHA regulations. The Electrician shall maintain a valid Master Electrician license and a current NYC DOB registration throughout the duration of this Purchase Order.
4.4 Insurance: The Electrician shall maintain, at a minimum, General Liability insurance of $2,000,000 per occurrence, Workers' Compensation insurance as required by New York State law, and Professional Liability (Errors and Omissions) insurance of $1,000,000. Certificates of insurance naming Manhattan Commercial Properties, LLC as an additional insured shall be provided prior to the start date.
4.5 Warranties: The Electrician warrants all labor for a period of two (2) years and all materials and equipment for the full manufacturer's warranty period, whichever is longer. This warranty is in addition to, and not in lieu of, any warranties provided by equipment manufacturers.
4.6 Change Orders: Any modifications to the scope of work outlined in this Purchase Order must be documented in a written Change Order signed by both parties prior to execution. No additional charges will be recognized without such documentation.
4.7 Dispute Resolution: Any disputes arising under this Purchase Order shall be governed by the laws of the State of New York and the jurisdiction of United States New York City. The parties agree to attempt mediation before initiating any litigation in the New York County Supreme Court.
4.8 Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all work completed and materials procured up to the date of termination.
IMPORTANT NOTICE: This Purchase Order is subject to all applicable federal, state, and local laws of the United States New York City. The Electrician acknowledges that all work performed under this Purchase Order must be inspected and approved by the New York City Department of Buildings before the building may be re-occupied. Failure to obtain required inspections may result in stop-work orders, fines, and voiding of all warranties.By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Electrician services in United States New York City.
