- This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier for the Electrician services described herein. All work shall be performed at the project site in Vietnam Ho Chi Minh City as specified above.
- The Supplier shall assign a licensed Electrician team of no fewer than eight (8) certified technicians, each holding a valid Vietnamese electrical work permit (Giấy phép hành nghề điện) issued by the Ministry of Industry and Trade.
- All materials, components, and equipment supplied under this Purchase Order must be new, of OEM quality, and carry a minimum manufacturer warranty of two (2) years. The Supplier shall provide material data sheets and compliance certificates upon delivery to the Vietnam Ho Chi Minh City site.
- Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid VAT invoice. Late payments shall accrue interest at 0.05% per day as stipulated under the Vietnamese Commercial Law 2005.
- The Supplier is responsible for all safety protocols, personal protective equipment (PPE), and site housekeeping in accordance with Vietnam's Occupational Safety and Health regulations. Any work-related incident at the Vietnam Ho Chi Minh City site shall be reported to the Purchaser within four (4) hours.
- Warranty: The Electrician workmanship warranty period is twelve (12) months from the date of final acceptance. During this period, the Supplier shall rectify any defects at no additional cost to the Purchaser.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to typhoons, flooding in the Vietnam Ho Chi Minh City region, government-mandated shutdowns, or epidemics, as defined under Article 351 of the Vietnamese Civil Code 2015.
- Disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within fifteen (15) days, the matter shall be submitted to the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City for binding arbitration.
- This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. All communications regarding this document shall be in Vietnamese and English, with the Vietnamese version prevailing in case of discrepancy.
