1. Delivery / Commencement: The Electronics Engineer team shall commence work no later than 01 July 2025 at the buyer's premises in Algiers, Algeria. All design deliverables shall be submitted within 90 calendar days from the commencement date.
2. Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon delivery of all design files and prototype units, and 30% upon successful commissioning and acceptance at the Rouiba facility, Algiers, Algeria. All payments shall be made via bank transfer to the seller's account at BNA (Banque Nationale d'Algérie), Algiers branch.
3. Quality Standards: All work performed by the Electronics Engineer shall conform to Algerian industrial regulations (Normes Algériennes), IEC 61508 for functional safety, and the specific technical requirements detailed in Annex A. Non-conforming deliverables shall be rectified at the seller's sole expense within 10 business days.
4. Intellectual Property: Upon full payment, all schematics, firmware source code, PCB layouts, and documentation produced by the Electronics Engineer shall become the exclusive property of the buyer. The seller retains the right to reference the project in portfolio materials with prior written consent.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Algeria Algiers or its surrounding regions.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the competent commercial court of Algiers, Algeria, in accordance with Algerian law.
8. Warranty: The Electronics Engineer services carry a warranty period of twelve (12) months from the date of final acceptance. During this period, any defects in design or workmanship shall be corrected at no additional cost to the buyer.
9. Compliance with Algerian Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code and applicable tax legislation.
