This Purchase Order is issued by Meridian Technologies Pty Ltd to procure the professional services of a qualified Electronics Engineer to deliver a comprehensive circuit design, prototyping, and testing engagement for the development of a next-generation industrial sensor array. The Electronics Engineer shall be based in Australia Sydney and shall perform all on-site work at the Meridian Technologies facility located at 200 George Street, Sydney, NSW 2000. The scope of work encompasses schematic design, PCB layout, firmware integration, electromagnetic compatibility (EMC) testing, and full documentation in accordance with Australian Standards AS/NZS 3000 and relevant IEEE specifications. - This Purchase Order is subject to the Australian Consumer Law (2010) and the Competition and Consumer Act 2010 (Cth). All services shall be rendered in accordance with the professional standards expected of a registered Electronics Engineer in Australia Sydney.
- The Electronics Engineer shall hold a valid engineering registration with Engineers Australia and shall maintain professional indemnity insurance with a minimum cover of AUD $5,000,000 for the duration of this Purchase Order.
- All work shall be performed at the buyer's premises in Australia Sydney unless otherwise agreed in writing. The Electronics Engineer shall comply with all site safety regulations, including WHS Act 2011 (NSW) requirements.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Securities and Investments Commission (ASIC) regulations.
- The Electronics Engineer warrants that all deliverables, including schematics, PCB layouts, firmware code, and documentation, shall be original work free from intellectual property infringement. All intellectual property created under this Purchase Order shall vest in Meridian Technologies Pty Ltd upon full payment.
- Confidentiality: The Electronics Engineer shall treat all proprietary information, trade secrets, and technical data as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Australia Sydney under the rules of the Australian Dispute Resolution Centre. If unresolved, the matter shall be referred to the Supreme Court of New South Wales.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
- All communications regarding this Purchase Order shall be in writing and directed to the contact persons specified above.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. The Electronics Engineer confirms availability to commence work in Australia Sydney on or before 1 July 2025 and agrees to deliver all milestones as specified in the attached project schedule (Appendix A, not reproduced herein).
