1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Belgium Brussels.

2. Scope of Work: The Electronics Engineer engaged under this Purchase Order shall perform all duties in accordance with the technical specifications annexed to this document. The Electronics Engineer must hold a minimum of a Master's degree in Electrical or Electronics Engineering and possess at least eight (8) years of professional experience in embedded systems design. All work shall be performed at the Belgium Brussels premises of EuroTech Solutions NV unless remote work is explicitly authorized in writing.

3. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice referencing this Purchase Order. Invoices must be submitted to the accounts payable department of EuroTech Solutions NV, Belgium Brussels. Late payments shall accrue interest at the rate prescribed by Belgian law (Article 5:111 of the Belgian Code of Economic Law).

4. Delivery and Acceptance: All deliverables, including but not limited to schematics, PCB layouts, firmware binaries, test reports, and compliance documentation, shall be delivered to the Belgium Brussels project office. Acceptance shall be confirmed in writing within fifteen (15) business days of delivery. Failure to confirm acceptance within this period shall constitute deemed acceptance.

5. Intellectual Property: All work product, designs, code, and documentation created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of EuroTech Solutions NV. The Electronics Engineer hereby assigns all intellectual property rights arising from the engagement to the Purchasing Party.

6. Confidentiality: The Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the engagement in Belgium Brussels. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations, including payment for services rendered up to the date of termination.

8. Health, Safety, and Compliance: The Electronics Engineer shall comply with all applicable Belgian occupational health and safety regulations, as well as all electrical safety standards (NEN 1010 / IEC 60364) applicable in Belgium Brussels. The supplier shall ensure that the Electronics Engineer carries adequate professional liability insurance.

9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, war, or government-imposed restrictions affecting operations in Belgium Brussels.

10. Anti-Corruption: Both parties warrant that no bribe, kickback, or improper payment has been offered or made in connection with this Purchase Order, in compliance with Belgian anti-corruption legislation and EU regulations.
