This Purchase Order authorizes the engagement of the above-named Electronics Engineer to perform specialized technical services for the design, development, testing, and commissioning of industrial control systems and power distribution infrastructure located at the buyer's facility in Brazil Brasília. The scope encompasses all activities required under Brazilian regulatory standards (ABNT NBR) and the technical oversight mandated by the Federal District engineering council (CREA-DF). The Electronics Engineer shall be responsible for ensuring full compliance with local electrical codes, environmental regulations, and safety protocols applicable to the Federal District of Brasília.

- 5.1 This Purchase Order constitutes a binding agreement between InfraTech Engenharia e Sistemas Ltda. and the Electronics Engineer identified in Section 2. All services shall be performed in accordance with the scope defined in Section 4 and applicable Brazilian federal and state engineering regulations.
- 5.2 The Electronics Engineer shall maintain valid professional registration with CREA-DF throughout the duration of this contract and shall issue the corresponding ART (Anotação de Responsabilidade Técnica) for each deliverable as required by Brazilian law.
- 5.3 All work shall be executed at the buyer's facility located in Brazil Brasília, Federal District, unless otherwise agreed in writing. The Electronics Engineer is responsible for travel, lodging, and per diem expenses within the Federal District.
- 5.4 Payment shall be made in three (3) equal installments: 30% upon signing of this Purchase Order, 40% upon completion of design and procurement milestones (Items 01, 02, and 04), and 30% upon final acceptance and delivery of all documentation (Items 03, 05, 06, and 07). Payment shall be via bank transfer (TED/PIX) to the account specified by the Electronics Engineer.
- 5.5 The Electronics Engineer warrants that all designs, calculations, and engineering deliverables shall comply with ABNT NBR 5410, NBR 5419, NBR 14039, and all applicable municipal bylaws of Brazil Brasília. Any non-conformity identified during the warranty period (12 months from final acceptance) shall be corrected at no additional cost.
- 5.6 The Electronics Engineer shall maintain professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of R$ 500,000.00 for the duration of the engagement.
- 5.7 In the event of delay beyond the agreed timeline, a penalty of 0.5% per calendar day of delay shall be applied to the outstanding balance, up to a maximum of 10% of the total Purchase Order value.
- 5.8 This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this agreement shall be resolved by the competent courts of Brazil Brasília, Federal District, with exclusive jurisdiction.
- 5.9 The Electronics Engineer shall comply with all data protection requirements under the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018) regarding any personal data processed during the execution of this Purchase Order.
- 5.10 This Purchase Order may be amended only by written addendum signed by both parties. No oral modifications shall be valid.
