This Purchase Order is issued by TechNova Solutions S.A., a technology and industrial automation company headquartered in Brazil Rio de Janeiro, to formally procure the professional services of a certified Electronics Engineer for the duration of the project cycle specified herein. This Purchase Order constitutes a binding agreement between TechNova Solutions S.A. and the designated Electronics Engineer upon signature by both parties. All services shall be rendered in Brazil Rio de Janeiro, at the company’s designated facility or as otherwise agreed in writing.
The Electronics Engineer warrants that all deliverables shall comply with the technical specifications, quality standards, and regulatory requirements applicable in Brazil. Any non-conformity identified during the acceptance review period (fifteen business days) shall be rectified at no additional cost to the issuing company.
Payment shall be processed in four (4) equal installments, each due upon successful completion and written acceptance of the corresponding milestone as defined in Section 2 of this Purchase Order. Invoices must be submitted to the accounts payable department in Rio de Janeiro no later than five business days following milestone completion.
The Electronics Engineer shall maintain full professional liability insurance and CREA-RJ registration in active status throughout the entire contract period. Failure to maintain valid registration shall constitute grounds for immediate termination of this Purchase Order.
All intellectual property, schematics, firmware code, and technical documentation produced under this Purchase Order shall be the exclusive property of TechNova Solutions S.A. The Electronics Engineer shall sign a non-disclosure agreement (NDA) prior to commencing any work.
Any modifications to the scope of work, timeline, or deliverables must be documented through a formal Change Order, signed by both parties, before implementation. Unauthorized changes shall not be compensated under this Purchase Order.
This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this agreement shall be resolved by the competent courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
The Electronics Engineer shall comply with all applicable labor, tax, and occupational safety regulations in force in Brazil Rio de Janeiro, including but not limited to the Consolidation of Labor Laws (CLT) provisions applicable to independent professional contracts.
