Terms and Conditions
- This Purchase Order is issued under the jurisdiction of the Province of Quebec and the federal laws of Canada. All disputes arising from this agreement shall be resolved in the courts of Canada Montreal, Quebec.
- The Electronics Engineer engaged under this Purchase Order must hold a valid Professional Engineer (P.Eng.) license issued by the Ordre des ingénieurs du Québec (OIQ) and must maintain professional liability insurance with a minimum coverage of $2,000,000 CAD throughout the duration of the engagement.
- All deliverables, including but not limited to schematics, PCB layouts, firmware code, and technical reports, shall become the exclusive intellectual property of Meridian Circuit Solutions Inc. upon full payment of this Purchase Order.
- Payment shall be made via electronic funds transfer (EFT) to the vendor's designated bank account in Canada Montreal within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-2025-MTL-00482).
- The vendor shall comply with all applicable Canadian and Quebec provincial regulations, including the Act respecting the French language, official language of Quebec (Bill 96), for all written communications and documentation delivered under this Purchase Order.
- Any changes to the scope of work, timeline, or deliverables must be documented in a formal Change Order signed by both parties before implementation. No additional charges will be recognized without prior written approval on a revised Purchase Order.
- The Electronics Engineer shall adhere to all site safety protocols at the Canada Montreal laboratory, including but not limited to ESD handling procedures, RF safety guidelines, and the company's environmental management plan.
- This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance by the stated deadline shall render this Purchase Order null and void.
- All equipment delivered under Item 003 shall be warranted by the manufacturer for a minimum of two (2) years from the date of delivery to the Canada Montreal site, with on-site repair or replacement at no additional cost to the buyer.
