This Purchase Order is issued by Beijing Advanced Technology Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Global Electronics Engineering Consultants (GEEC) Ltd. (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Electronics Engineer. The Electronics Engineer shall be engaged to perform comprehensive circuit design, signal integrity analysis, embedded systems development, and hardware validation tasks in support of the Buyer's next-generation telecommunications infrastructure project located in China Beijing.

The Electronics Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Electrical or Electronics Engineering from an accredited institution, possess no fewer than eight (8) years of progressive professional experience in high-frequency circuit design, and demonstrate proven competency in the following technical domains: printed circuit board (PCB) layout and routing, mixed-signal integrated circuit design, electromagnetic compatibility (EMC) testing, power management architecture, and firmware integration for microcontroller-based systems. The Electronics Engineer shall be physically stationed at the Buyer's facility in China Beijing for the entire duration of the contracted engagement and shall report directly to the Buyer's Chief Technology Officer.

All prices are quoted in Chinese Yuan (CNY) and are inclusive of all applicable local taxes in China Beijing unless otherwise stated. The Electronics Engineer's professional fees include travel, accommodation, and per diem expenses within the Beijing metropolitan area.

Payment for this Purchase Order shall be made in accordance with the following schedule, all remittances to be processed via bank transfer to the Supplier's designated account in China Beijing:

All invoices must be submitted in triplicate with a valid VAT invoice (fapiao) issued in accordance with the regulations of the State Taxation Administration of the People's Republic of China. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 0.05% per calendar day on the outstanding balance.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order, including those relating to the performance of the Electronics Engineer, shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, China. The language of arbitration shall be English.
2. Intellectual Property: All designs, schematics, firmware code, documentation, and other intellectual property created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier and the Electronics Engineer hereby assign all such rights to the Buyer upon creation.
3. Confidentiality: The Supplier and the Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Compliance: The Electronics Engineer shall comply with all applicable laws, regulations, and industry standards in force in China Beijing, including but not limited to the PRC Cybersecurity Law, the PRC Data Security Law, and relevant national standards (GB) for electronic equipment.
5. Insurance: The Supplier shall maintain professional indemnity insurance and public liability insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of work.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered by the Electronics Engineer up to the date of termination, plus reasonable demobilization costs.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in China Beijing.
8. Subcontracting: The Supplier shall not subcontract any portion of the Electronics Engineer's services without the prior written consent of the Buyer. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electronics Engineer in China Beijing. This Purchase Order constitutes a binding agreement upon execution by authorized representatives of both parties.
