This Purchase Order is issued by Shanghai Meridian Technology Solutions Co., Ltd. to formally procure the professional services of a qualified Electronics Engineer for the duration and scope described herein. The Electronics Engineer shall be engaged to perform comprehensive circuit design, signal integrity analysis, embedded systems development, and hardware validation tasks in direct support of the Buyer’s next-generation industrial automation product line. All professional activities under this Purchase Order shall be conducted within the operational boundaries of China Shanghai, specifically at the Buyer’s principal facility located in the Pudong New Area, unless otherwise authorized in writing by the Buyer’s procurement department.

The Electronics Engineer is expected to hold a minimum of a Master’s degree in Electrical or Electronic Engineering from an accredited institution, possess no fewer than eight (8) years of progressive experience in mixed-signal PCB design, and demonstrate proficiency in industry-standard tools including Cadence Allegro, Altium Designer, and MATLAB/Simulink. The Electronics Engineer shall comply with all applicable national standards of the People’s Republic of China, including but not limited to GB/T 17626 (Electromagnetic Compatibility) and GB 4943.1 (Safety of Information Technology Equipment), as well as any municipal regulations specific to China Shanghai governing professional engineering practice and workplace safety.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both authorized representatives. All terms herein shall be governed by the Civil Code of the People’s Republic of China and applicable commercial regulations in force in China Shanghai.
2. The Electronics Engineer shall devote a minimum of 40 hours per week to the Buyer’s project during active engagement phases. Any deviation from this commitment must be pre-approved in writing by the Buyer’s project manager.
3. All intellectual property, design files, source code, and technical documentation produced by the Electronics Engineer under this Purchase Order shall be the sole and exclusive property of the Buyer upon full payment of the corresponding phase deliverable.
4. The Supplier shall ensure that the Electronics Engineer maintains all necessary professional licenses, insurance coverage, and compliance certifications required to practice engineering services within the administrative jurisdiction of China Shanghai.
5. Payment shall be remitted via bank transfer to the Supplier’s designated account in CNY within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao) for each completed phase. Late payments shall accrue interest at 0.05% per calendar day.
6. Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Buyer shall compensate the Supplier for all work completed and accepted up to the termination date, as verified by the Electronics Engineer’s progress reports.
7. Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within sixty (60) days, the matter shall be submitted to the Shanghai Arbitration Commission for binding arbitration in accordance with its then-current rules.
8. The Electronics Engineer shall adhere to all confidentiality obligations set forth in the separate Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order, protecting all proprietary information of the Buyer and the Supplier.
9. All on-site work performed by the Electronics Engineer at the Buyer’s facility in China Shanghai shall comply with the Occupational Safety and Health regulations of the Shanghai Municipal Government and the Buyer’s internal safety protocols.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electronics Engineer in China Shanghai. This document is executed in two (2) original copies, one retained by each party.
